Q (Conflicting Limits): On page 3 it states the cover letter shall be limited to 1 page, but on page 4 it states a 2 page limit. Could you clarify? Also, on page 3 it states the proposal limit of 10 pages, but on page 5 it states "part of the 15 pages" in reference to the limit. Again, could you clarify? Thank you

Q (Indemnification Clause): The indemnification clause (section 13.7 on page 5 of the sample contract) is not in compliance with California Civil Code Section 2782.8. Is the City willing to change the indemnification or have additional language for professional services indemnification that is in compliance with 2782.8? Thank you!
A: Hello Liza, here is our response: "City will use the following language to address Civil Code section 2782.8 in lieu of the current Indemnification contact language: 22.0 INDEMNIFICATION Other than in the performance of Design Professional services, which shall be solely addressed as in Section 22.1 below, to the fullest extent permitted by law, Contractor shall defend, indemnify and hold City and its officers, officials, employees, and volunteers harmless against any and all liability, loss, damage, fine, penalty, expense, claim or cost (including without limitation costs and fees of litigation) of every nature (collectively, “Liability”) arising out of or in connection with Contractor’s performance under this Contract, including defects in design, except: (1) Liability caused by City's sole negligence or willful misconduct; or (2) for Liability caused by City's active negligence, in which case the indemnity received by City shall be reduced by the amount: (i) that City's active negligence contributed to the Liability on a comparative basis; or (ii) such other amount as may be required by law (“Duty of Indemnification”). 22.1 To the fullest extent permitted by law (including, without limitation, California Civil Code Section 2782.8), with respect to the performance of Design Professional services, Contractor shall indemnify and hold harmless the City and its officers, officials, employees and volunteers harmless against all claims, demands or liability that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of Contractor in the performance of Design Professional services under this Contract. In relation to Design Professional services, in no event shall the cost to defend charged to Contractor exceed the Contractor’s proportionate percentage of fault. 22.2 The review, acceptance or approval of Contractor’s work or work product by any indemnified party shall not affect, relieve, or reduce Contractor’s indemnification or defense obligations. This Section survives completion of the services or the termination of this contract. The provisions of this Section are not limited by and do not affect the provisions of this contract relating to insurance."
