    Context Le Centre ODAS is a regional mechanism for strategic and innovative partnership, officially launched in 2021 and designed to catalyze and sustainably strengthen the movement for safe abortion in Francophone Africa. It brings together an ecosystem of committed stakeholders—public policymakers, healthcare providers, youth organizations, feminist networks, academic institutions, and civil society organizations—united by a common goal: to eliminate the stigma surrounding abortion, reduce unsafe practices, and fully promote sexual and reproductive health and rights. ODAS also serves as a hub for collaboration and learning, creating dynamic networking spaces between advocates in Francophone Africa and their counterparts worldwide. Institutionally, ODAS’s governance model was designed to be progressive and strategic. At its launch, Ipas, as the host organization, provided technical, administrative, and logistical support to the ODAS Center. Gradually, ODAS has assumed technical leadership of its strategic plan and positioned itself as a key regional actor, committed to transforming the political, social, and health landscape to ensure that women and girls in Francophone Africa have effective access to safe abortion services that respect their rights. ODAS is supported by a committed group of donors, who have almost all supported ODAS since its inception. Le Centre ODAS comprises various profiles across the Francophone region, who form the coordination team and support the ODAS movement, which is made up of 277 organizations spread across the 22 countries of Francophone Africa. This transition is a strategic step to enhance the ODAS Center’s institutional autonomy while safeguarding operational continuity and maintaining full alignment with donor requirements. These terms of reference are intended to identify a firm that will be responsible for leading ODAS’s transition plan from the current model to an organization that will serve as a fiscal sponsor.Mission objectives The firm will be responsible for ensuring a smooth and efficient transition by overseeing the selection process for the host organization and managing the transfer of responsibilities from our current host to the organization that will serve as the fiscal sponsor. Specifically:Pre-Selection Phase • Build and maintain strong, trust-based relationships with key stakeholders, including donors, Ipas, and Le Centre ODAS. • Provide strategic guidance on the transition plan and support the finalization of the fiscal sponsor’s Terms of Reference. • Lead and manage the fiscal sponsor selection process in line with defined criteria. • Review and assess applications from potential organizations, including conducting a SWOT analysis for each. • Assess the alignment of potential sponsor organizations with the ODAS Center’s mission and values and Assess risks and define mitigation measures • Initiate implementation of the transition plan and refine it based on emerging insights and stakeholder feedback.Post-Selection Phase • Lead in-depth discussions with the selected sponsor to define service scope and support modalities, including: o General administration o Grant management and reporting o Financial services o Human resources o IT services o Office and workspace support • Oversee the transfer of grants from Ipas to the fiscal sponsor. • Oversee the transfer of HR records and all critical operational components from Ipas to the fiscal sponsor. • Facilitate and coordinate discussions with donors to secure progressive validation of transition methodologies. • Ensure alignment with donor requirements, particularly for funding extending beyond the transition period, and coordinate fund transfers accordingly.Note: This list is non-exhaustive and may evolve based on implementation needs and stakeholder inputs. I. Key deliverables • Final Terms of Reference for the fiscal sponsor • Evaluation report of candidates (including SWOT analysis) • Fiscal sponsor selection and recommendation report • Comprehensive transition plan (operational, financial, HR, legal) • Risk mitigation and change management plan • Service agreement framework between ODAS and the fiscal sponsor • Operational procedures for key functions (finance, HR, grants, IT, administration) • Grant transfer execution report • HR and operational transfer completion report • Donor validation and compliance report • Periodic progress reports • Final transition report with recommendations and handover package.II. Profile The selected firm should demonstrate strong expertise in organizational transition, fiscal sponsorship models, and institutional strengthening, particularly within the non-profit and international development sectors. Core Expertise Required • Proven experience in organizational transition and change management, including complex, multi-stakeholder environments • Strong track record in fiscal sponsorship, NGO structuring, or intermediary models • Expertise in grant management systems, donor compliance, and financial governance • Solid experience in HR transition processes and organizational design • Capacity in risk analysis, strategic planning, and operational system development Sectoral Experience • Demonstrated work in sexual and reproductive health and rights (SRHR), gender, or related social impact sectors is a strong asset • Experience working in Francophone Africa or similar contexts with sensitive sociopolitical environments • Familiarity with international donors’ requirements and compliance frameworks Stakeholder Engagement & Facilitation • Strong ability to engage and align diverse stakeholders (donors, NGOs, networks, institutions) • Proven skills in facilitation, negotiation, and consensus-building • Experience managing high-level strategic discussions and validation processes Operational Capacity • Ability to deliver end-to-end support, from strategy design to implementation and handover • Multidisciplinary team covering legal, financial, HR, and operational expertise • Strong project management capacity with clear reporting and accountability mechanisms Key Competencies • Strategic thinking with a results-oriented approach • High level of professional integrity, neutrality, and confidentiality • Strong analytical and writing skills (reports, frameworks, policies) • Fluency in French (mandatory) and working proficiency in English.Mission Duration This mission is scheduled to run from May 25, 2026, to May 1, 2027.
