During transaction execution, the Provider shall lead technical, commercial, and operational workstreams, including utility and asset due diligence, baseline validation, facility surveys, energy modeling, project scope development, financing structure evaluation, and coordination with WMCHealth’s advisors, counsels, and other transaction stakeholders. The Provider should deliver a final executable solution that includes the agreed project scope, guaranteed savings and performance standards, implementation schedule, risk allocation, and definitive contract documentation.Following close, the Provider shall design, procure, construct, commission, operate, maintain, and optimize the agreed energy infrastructure with minimal disruption to patient care.
