    • General
      1. Sealed electronic responses will be received through the Greater Orlando Aviation Authority e-Procurement Platform located at https://procurement.opengov.com/portal/goaa. Once you have completed the free account registration, browse back to this page, click on "Draft Response", and follow the instructions to submit the electronic response. By way of the Platform, Respondents will be locked and digitally encrypted until the submission deadline passes.
      2. All Responses must be received by the Aviation Authority as noted in the Timeline. All Responses timely received will be listed with the name of the Respondent during the Virtual Opening. The eProcurement Platform will not allow for late submittals.
      3. The time/date stamp clock located in the electronic submittal Platform shall serve as the official authority to determine lateness of any response.
      4. The Aviation Authority shall not be responsible for delays caused by any occurrence. This shall include any delay as a result of a technology issue. Any late response shall not be accepted.

    • Communications; Questions Regarding Specifications or Solicitation Process and Receiving Responses
      1.       3. In accordance with Administration Policies (Sections 180.01 and 180.03) policies, any communication directly or indirectly to seek to encourage any specific result in connection with an Aviation Authority selecting process, including but not limited to, written communications, any and all forms of electronic communications or messaging, including social media, oral communications either in person or by telephone, initiated by a Respondent or through a lobbyist, agent or third person, to any Aviation Authority staff and/or Committee/Board member who is a member of any committee constituted for the purposes of ranking Solicitations, making recommendations or making an award, is prohibited from the time that the Solicitation is released to the time that the award is made.       Unless otherwise specified in the Bid Documents, the term “days” shall refer to calendar days.  When any obligation or deadline is measured by the number of days and the deadline date falls on a legal holiday or weekend when the Owner’s office is closed, the obligation will be allowed to be completed on the next business day without penalty.

    • Code of Ethics and Business Conduct Policy

      The Aviation Authority has adopted a Code of Ethics and Business Conduct Policy # 101-02, which addresses the obligation of the Aviation Authority’s Board members and employees to follow the Florida Statutes in reference to these issues. This includes, but is not limited to, the obligations of the Aviation Authority’s Board members and employees with respect to having an interest in business entities, outside employment, gratuities, divulgence of information, unauthorized compensation and acceptance of gifts. Please be aware that any violation of this policy by a Respondent and/or any attempt to influence an Aviation Authority Board member or employee to violate the policy is sufficient cause for the denial of the right of the Respondent to Respond on any contract or sell any materials, supplies, equipment, or services to the Aviation Authority for a period of time that is determined by the Chief Executive Officer.     • Time of Completion

      The time of completion is of the essence of the contract and, each Respondent, if delivered an executed Contract, shall proceed with the Work in accordance with the approved schedule and within the Contract Time period specified in the Contract Documents.  In the event of failure to complete the Work within the time specified, the Owner may assess damages as provided by law or the Contract Documents, unless an appropriate extension of time has been approved in a Contract Modification. This time period includes a thirty (30) calendar day submittal period during which no work will be performed at the job site unless authorized by the Owner or Owner’s Authorized Representative (OAR). The time of completion for this Work, as used throughout the Contract Documents, is 409 calendar days to achieve Substantial Completion, commencing from the issuance of the Notice to Proceed. Final Completion shall be achieved within 60 calendar days from the date of Actual Substantial Completion.

    • Liquidated Damages

      Contractor acknowledges that the Work is scheduled to be performed in six (6) phases as identified in the Project Schedule as subphases (“Subphase”). If Contractor fails to achieve Substantial Completion of each Subphase timely, as adjusted by Contract Modifications, if any, Contractor and Contractor’s surety shall be liable to the Owner for liquidated damages, and not as a penalty, in the amount of Three Hundred Fifty Dollars and 00/100 ($350.00) per calendar day for any phase that exceeds its allotted duration as shown in the construction drawings, sheet G0-0.00.00, (Project Schedule Guideline) for each phase of construction. If Contractor fails to achieve Substantial Completion or Final Completion as defined in the Contract Documents within the established time frames, as adjusted by Contract Modifications, if any, the Contractor and the Contractor’s surety shall be liable to the Owner for liquidated damages, and not as a penalty, for such delay, in the amount of One Thousand Three Hundred Nine and 00/100 Dollars ($1,309.00) per calendar day for each and every consecutive calendar day elapsing between the date fixed for Substantial Completion of the Work and the date Substantial Completion is actually achieved, and Seven Hundred and 00/100 Dollars ($700.00) per calendar day for each and every consecutive calendar day beyond the calendar days fixed for Final Completion of the Work and the date Final Completion is actually achieved. The Owner’s receipt of payment for such Liquidated Damages does not preclude the Owner from pursuing any other rights or remedies available to it under the Contract or Florida law.

    • Basis of Award and Reservation of Rights

      Unless all Responses are rejected, a Notice of Intent to Award the Contract will be issued to the lowest, qualified, responsible Respondent whose Response is responsive to the Solicitation.  The apparent low bid will be determined on the basis of the Total Bid Price.  In determining the apparent low bid, the Owner reserves the right to correct, in all bids, obvious mathematical errors within the Total Bid Price, the unit price extensions, page totals or any combination thereof, if applicable.  The Owner also reserves the right to take into consideration the Respondent's qualifications and past performance with the Owner or any other entity in determining if the Respondent is responsible and qualified.

      If the pricing table includes any alternates, the apparent low bid will be determined on the basis of the Base Bid price, or Base Bid price plus any combination of the Additive Alternate Bid prices, or Total Bid Price.  The final amount of funding available for this project will not be known until the time of bid opening, and the scope of work awarded will be dependent on that amount.  The apparent low bid will reflect the combination of proposed cost for the scope of work that is closest to, but still less than, the funding amount available.

    • Local Developing Business (LDB) Participation Goal

      A Respondent which fails to propose the minimum LDB participation and fails to demonstrate good faith efforts will be deemed non-responsive.     • Disqualification of Respondents

      Any of the following causes may be considered sufficient for the disqualification of a Respondent and the rejection of its Response:

        1. submission of more than one Response for the same work by an individual, firm, partnership or corporation under the same or different names;
        2. evidence of collusion between or among Respondents;
        3. work for which the Respondent is committed by contract, which, in the Owner's judgment and sole discretion, might hinder or prevent the prompt completion of the Work under this Contract if awarded to the Respondent;
        4. being behind on the approved completion schedule for any existing contracts with the Owner, in litigation with the Owner or having defaulted on a previous contract with the Owner;
        5. poor, negligent or defective performance of work for Owner or any other party on prior projects, which, in the Owner's judgment and sole discretion, raises doubts as to the Respondent's ability to properly perform the Work;
        6. appearance of the Respondent on the Department of Management Services' Convicted Vendors List or Discriminatory Vendor List; and
        7. not possessing the required licenses, registrations or certifications to perform the Work.
    • Guarantee of Faithful Performance and Payment

      Contractors are hereby informed that as a public entity, the Owner’s property is not subject to the Construction Lien Law contained in Chapter 713, Florida Statutes. A Performance Bond and a Payment Bond satisfactory to the Owner and in the form attached hereto, each in an initial amount of not less than the Total Contract Price, will be required from the successful Bidder for, among other, the following purposes: a) to guarantee faithful performance of the requirements of the Contract Documents, including all applicable warranties; b) to guarantee the payment of all labor, materials, or supplies used directly or indirectly in the prosecution of the Work provided for in the Contract; and c) to comply fully with the requirements of Florida law.

      A Response may be considered irregular and may be rejected if, in the Owner’s sole discretion, it contains any omissions, alterations of form, additions not called for, conditions, reservations, qualifications, objections, limitations, unauthorized alternate bids or any other irregularities of any kind or any other cause, which, in the Owner's judgment and sole discretion, is sufficient to justify disqualification of a Respondent or the rejection of its Response.  In addition, the Owner reserves the right to reject for any reason, in its sole discretion, all Responses at any time prior to full execution of Contract and delivery to the Respondent.       Insurance shall be carried with an insurance company (or companies) authorized to do business in the State of Florida and have a current financial rating by A.M. Best of A- VII or better and written on forms and endorsements acceptable to Owner.

      Insurance shall be primary and not contributory to any other insurance (or self-insurance) maintained by the Owner, including any deductibles or self-insured retentions and that any other insurance shall be considered excess insurance only.

      The policy limits required herein may be met by the combination of a primary liability insurance policy and an Umbrella or Excess Liability insurance policy, which will be written on a follow-form basis.

      Contractor shall immediately notify Owner, in writing, of any adverse material change in Contractor’s required insurance.  For the purpose of this insurance section, adverse material change shall mean any reduction in the limits of the insurer’s liability, any reduction of any insurance coverage, any increase in Contractor’s deductible or self-insured retention, or any non-renewal or cancellation of required insurance.       

      Costs of insurance premiums, deductibles, or self-insured retentions shall not be charged back to Owner unless included in an approved Contract Modification.  Owner shall have the right to alter the monetary limits or the coverages required during the term of this Contract, and Contractor shall comply with all reasonable requests with respect thereto.  Any additional insurance premium to Contractor for the mid-term change in insurance requirement must be justified as specific to the Project, before Owner considers changes in Total Contract Price for chargeback to Owner.

      The Owner may at its sole discretion suspend or terminate all Work pursuant to Article 14 of the General Conditions pending Contractor’s inability to meet insurance requirements herein this Agreement or Contractor’s failure to renew or replace insurance.  Owner’s acceptance of Contractor’s proof of insurance shall not be deemed a waiver of the insurance requirements herein.

    • Tie Breaking

      In accordance with the Aviation Authority's Policy 450.02, when a tie occurs, the following will be considered in an attempt to break the tie, in the order listed below:

        1. Drug-Free Workplace
        2. Certified MWBE Companies (MWBE Program suspended as of June 3, 2025)
        3. Request Offerors to submit best and final pricing
        4. Offeror whose principal place of business is located in Orange, Lake, Osceola, Polk, and Seminole Counties

    • Appeals

      Any Respondent who is adversely affected by a decision or intended decision concerning this competitive solicitation or award and who wants to appeal such specifications, decision, or intended decision shall file an appeal within five (5) business days of the date of any decision or intended decision in compliance with the Aviation Authority’s Policy 110.04, Appeal Process. Failure to file an appeal in accordance with the Aviation Authority’s Policy 110.04, shall constitute a waiver of the appeal process.

    • Indemnification

      To the fullest extent permitted by law, Contractor shall indemnify and hold completely harmless the Owner,  City of Orlando, (including, without limitation, their officers, agents, employees and all members of the governing boards and the Citizen Advisory Committees of each), as well as the OAR, State of Florida, Department of Transportation, and the officers, agents, and employees of each of them (the “Indemnified Parties”) from and against any and all claims, suits, demands, judgments, losses, costs, fines and penalties (including any assessed by the FAA or TSA, and any required or recommended investigation and security training, incurred as a result of any violation of federal regulations, including the Airport Security Plan), damages, expenses, liabilities (including statutory liabilities under Workers Compensation laws) and reasonable expenses (including, but not limited to, fees for attorneys, expert witnesses, scene recreations, legal support expenses) (“Damages”), which may be incurred by or charged to Indemnified Parties, to the extent caused in whole or in part by any negligent act, omission, recklessness or intentional misconduct by the Contractor, any Subcontractor, or any of their officers, directors, partners, employees, agents, or suppliers, or anyone directly or indirectly employed by any of them or anyone for whose acts they may be liable, arising directly or indirectly from (i) the Work or Project or this Contract, (ii) work performed under warranty, or (iii) the failure of the Contractor to keep, observe or perform its responsibilities and obligations contained in or arising from this Contract. This indemnification obligation shall apply and not be limited by any limitation on the amount or type of compensation or benefits under worker’s compensation laws, disability benefits, or other employee benefits.  The obligations of this paragraph shall not be construed to negate, abridge, or reduce other rights or obligations of indemnity which would otherwise exist under law or this Contract. Nothing in this Contract shall be deemed a waiver by Owner of its sovereign immunity rights under the laws of the State of Florida, other than those specifically waived by virtue of this Contract.

      This indemnification shall survive the expiration or termination of this Contract.

      If the above indemnity provisions are deemed void in whole or in part under Florida law, then the following indemnification obligations shall apply to the extent such provisions are deemed void: Contractor shall indemnify and hold harmless the Owner, its officers and employees, from liabilities, damages, losses and costs, including but not limited to, reasonable attorney’s fees, to the extent caused by the negligence, recklessness, or intentional wrongful misconduct of the Contractor and persons employed or utilized by the Contractor in the performance of the Contract.

    • Notice of Intent to Award and Execution of Addendum

      Unless all Responses are rejected, a Notice of Intent to Award the Contract will be issued to the apparent successful Respondent.  The Notice of Intent to Award is not a commitment, but a procedure to enable the Respondent to assemble and deliver to the Owner the Contract Documents.  The Respondent who receives a Notice of Intent to Award an Addendum shall, within ten (10) business days of the date of Notice of Intent to Award, execute and deliver to the Owner all of the required Contract Documents, including, but not limited to the following:

        1. the Addendum in the form contained in the Contract Documents,
        2. the Performance Bond and Payment Bond in the form contained in the Contract Documents each for not less than the Total Contract Price,
        3. the Power of Attorney,
        4. the Performance and Payment Bond Certification Form, evidencing the authority of the person executing the Bonds, and
        5. the Certificate of Insurance evidencing the required insurance coverage,
        6. the required small business data and submittals, if any, and,
        7. the Preliminary Schedule (if requested).

      The above documents must be furnished, executed and delivered to the Owner before the Contract Documents will be executed by the Owner.  The Contract shall not be deemed awarded and shall not be binding upon the Owner until it has been executed by the Owner and a copy of the fully executed Contract Documents is delivered to the Contractor. Respondents are hereby informed that the award of this Contract may be contingent upon Owner's receipt of grant funding.  The Owner reserves the right not to proceed with the award of the contract for any reason, including, but not limited to, if the lowest Total Bid Price exceeds the Owner’s estimates or budget or funding is otherwise unavailable.  The Owner shall have the right to rescind its Notice of Intent to Award without liability at any time before the Contract Documents have been fully executed by all parties and delivered to the Contractor.

    • Florida Sales and Other Taxes

      The Contractor is responsible for paying to the appropriate governmental entity all applicable taxes.  Any applicable tax legally enacted when the bids are received shall be included in the Total Bid Price by the Respondent, whether or not yet effective or merely scheduled to go into effect. The Owner reserves the right to remove from the scope of work the direct purchase of certain materials to be used or incorporated into the Project.  Owner's direct purchase of materials, if any, will be determined after the contract has been awarded.  If Owner decides to directly purchase materials, a deductive change order will be issued in an amount that accurately reflects the reduced scope of work, which will normally be the amount of the direct purchase invoice plus the amount of the saved sales tax.  Respondents shall not reduce their bid in anticipation of any Owner direct purchase.

      The Aviation Authority is committed to the highest level of integrity in its operations and is fully committed to protecting the organization, its operations, and its assets against fraud, waste or abuse. The Aviation Authority has established a Whistle-Blower Reporting Line with a third-party service provider as a means for employees, contractors, vendors, tenants and the general public to report suspected fraud, waste or abuse in connection with Authority operations. The Consultant shall include this reporting requirement in all subcontracts and vendor agreements.       The Bid Security shall guarantee that the Respondent will not withdraw the Response for a period of 90 calendar days after the time and date fixed for the opening of Responses. If a Respondent improperly withdraws its Response or if a Respondent receives a Notice of Intent to Award the Contract, and fails to execute and deliver to the Owner any of the Contract Documents within ten (10) days after the date of the Notice of Intent to Award, the Owner shall be entitled to the full amount of the Bid Security, not as a penalty, but in liquidation of and compensation for damages.       1. The Contractor acknowledges that this is a contract for a public works project or for the purchase of materials for a public works project and, therefore, it has included in its bid or proposal the cost of compliance with the contract requirement that any iron or steel product permanently incorporated in the project be produced in the United States.
      2. The Contractor may request a waiver by submitting documentation to the satisfaction of the Owner that any of the following applies:
        1. Iron or steel products produced in the United States are not produced in sufficient quantities, reasonably available, or of satisfactory quality.
        2. The use of iron or steel products produced in the United States will increase the total cost of the project by more than 20 percent.
        3. Complying with paragraph (a) is inconsistent with the public interest.
      3. When steel and iron materials are used in a public works project, paragraph (a) does not prevent a minimal use of foreign steel and iron materials if:
        1. Such materials are incidental or ancillary to the primary product and are not separately identified in the project specifications; and
        2. The cost of such materials does not exceed one-tenth of 1 percent of the total contract cost or $2,500, whichever is greater. For purposes of this subparagraph, the cost of such materials is that shown to be the value of the iron or steel products as they are delivered to the project.
