There will not be a pre proposal meeting. Questions and inquiries concerning this proposal shall be directed to the Question & Answer section of this project on the County's OpenGov Procurement portal. All questions and answers will be available electronically on the County's OpenGov Procurement portal.
Prospective Proposers shall not contact any public employee by any means or method, including by telephone, regarding this specification and the procurement it represents except in the manner indicated above. Failure to comply with this requirement shall result in the disqualification of the Proposer.
When required by the Proposal Document, the successful Proposer agrees to take out and maintain Workers Compensation Insurance upon its employees throughout the term of the contract. The Proposer also agrees to furnish an official certification from the Industrial Commission of Ohio, showing that the successful Proposer has paid the necessary premiums for Workers Compensation insurance, whenever the Proposal Document requires Workers Compensation. If such certification is required in the Proposal Document, no contract between the Board and the Proposer shall be created until a fully executed copy of such certification has been served upon the Board.
To the fullest extent permitted by law, the successful Proposer shall protect, defend, indemnify and hold free and harmless the Board, and any officers, employees, successors, administrators or agents of same, from and against any and all claims, damages, losses, claims of loss, causes of action, penalties, settlements, costs, liabilities and expenses of any kind, including but not limited to attorney fees, arising out of or resulting from any acts or omissions of the successful Proposer, its officers, employees, consultants, agents, subcontractors, sub-subcontractors, successors or administrators, negligent or otherwise, and regardless of whether such claims, damages, losses, claims of loss, causes of action, penalties, settlements, costs, liabilities or expense is caused in part by any party indemnified hereunder. The successful Proposer also agrees to be responsible for the payment of all damages, settlements, costs and expenses of any kind, including attorney fees, incurred by the Board while the Board defends or pursues any action, cause of action, or claim which arises out the aforementioned acts or omissions. Such obligations include any claims arising out of the use of any patented material, process, article, or device that may enter into the manufacture, construction, or form a part of the work covered by either the order or contract. Such obligations shall not be construed to negate, abridge, or reduce any other rights or obligations of indemnity which would otherwise exist as to a party or person described herein.
In case of default by the successful Proposer, the Board may procure the articles or services provided for herein from any other source or sources and hold the successful Proposer responsible for any excess costs occasioned thereby.
The contract stemming from this Proposal shall contain a provision that it may be terminated by either party upon written notice provided to the other party within such time period as the Board may determine therein.
Prices should be stated in the units of the quantity specified in the Proposal Document. If the unit quantities requested are not available, include both the prices for the units that are available and a breakdown of those prices for the quantities requested. In case of a discrepancy in computing the amount of the Proposal, quoted unit prices for requested quantities will govern.
Quotations should include all charges for delivery, packing, crating, containers, etc. Unless otherwise stated by the Proposer, prices quoted will be considered as being based on delivery to the destination designated in the Proposal Document and including all delivery and packing charges.
References to a particular trade name, manufacturer's catalog, or model number, are made for descriptive purposes to guide the Proposer in interpreting the Proposal requirements. They should not be construed as excluding proposals on other types of materials, equipment and supplies. However, the successful Proposer will be required to furnish the particular item referred to in the Proposal specifications unless a departure or substitution is clearly noted and described in the proposal shown to be compatible with the specifications and accepted by the Board.
Samples, when requested, must be furnished free of expense to the Board, and if not destroyed, will upon request be returned at the Proposer's expense.
The Board reserves the right to reject any or all Proposals. The Board further reserves the right to waive any irregularities or clerical error in a Proposal and to accept that Proposal where, in the judgment of the Board or its agents, it is in the best interest of the Board to do so. The Board also reserves the right to accept a part or parts of a Proposal unless otherwise restricted in the Proposal Document.
Partial payments may be made upon presentation of a properly executed claim voucher to the Montgomery County, Ohio Purchasing Department, unless otherwise stated in the Proposal Document. The final payment will be made when the materials, supplies, services, or equipment has been fully delivered and accepted or the work completed to the full satisfaction of the Board. All invoices must show the properly assigned Montgomery County, Ohio Purchase Order Number.
All proposals, including any amendment or withdrawal, must be received prior to 1:30 pm on Wednesday, April 29, 2026. Any proposal, amendment or withdrawal, which has not been completed prior to the noted due date and time, will not be considered. Conditional or qualified proposals will be considered non-responsive.
Corrections of errors in a Proposal after the Proposal opening shall not be allowed except for extension and/or addition errors that are clearly evident in the Board's sole discretion. Correction of such errors shall only be allowed if accomplished by 4:00 p.m. on the second working day after the Proposal opening not counting the day of the Proposal opening.

The Board reserves the right to consider all elements entering into the question of determining the responsibility of a Proposer.
The intent of the Proposal Document and the agreement stemming therefrom is to include all items necessary for the proper execution and completion of the Work by the successful Proposer. The entire Proposal Document and the agreement stemming there from are complementary, and what is required by one shall be as binding as if required by all. Performance by the successful Proposer shall be required only to the extent consistent with the Proposal Document and the agreement stemming there from and reasonably inferable from them all as being necessary to produce the intended results.
During the performance of this Agreement, the Contractor will not discriminate against any employee or applicant for employment because of race, color, religion, sex, military status, national origin, disability, age, or ancestry. The Contractor may not discharge without just cause, refuse to hire, or otherwise discriminate against a person with respect to hiring, tenure, terms, conditions, or privileges of employment, or any matter directly or indirectly related to employment because of an employee’s race, color, religion, sex, military status, national origin, disability, age, or ancestry.
The Contractor further agrees not to establish or knowingly permit any discriminatory or segregationist practices in connection with this Agreement, whether in the conduct of its own operations, the operations of its agent, or in those of any subcontractor. The Contractor shall ensure that all subcontractors comply with the non-discrimination provisions of this Agreement.
In addition to any requirement in the Proposal Document, the contract evidencing the successful Proposal will contain a covenant to be agreed to by the successful Proposer that it has complied with the Board's disclosure policy adopted pursuant to Resolution No. 83-112, dated January 18, 1983, which requires anyone contracting with the Board to disclose to the Board any business relationship or financial interest that it has with a Montgomery County, Ohio employee or employee's business, or any business relationship or financial interest that a Montgomery County, Ohio employee has with the contracting party or in the contracting party's business. That contract will also create a continuing obligation to disclose such information to the Board.
The contract document to be executed by the successful Proposer shall constitute an offer by the successful Proposer to contract with the Board to supply the Work subject to the Proposal Documents. Such contract document shall be neither accepted nor binding until (1) certificated by the Auditor of Montgomery County, Ohio, (2) approved by a resolution of the Board, and (3) signed by the Board or the Montgomery County, Ohio Administrator. Such offer to contract shall not be revocable by the Proposer, except as provided by law. In the event no contract document is to be executed by the successful Proposer, the proposal shall constitute an irrevocable offer to enter into a contract and the receipt of the purchase order from the Board pursuant to such contract shall signify the Board's acceptance of the Proposer's offer to contract pursuant to the terms of the Proposal Document.
Each Proposer may describe its proposed service by responding, point-by-point, to the functional requirements of the Proposal Document and shall so respond to the information requirements of the Proposal Document. Such responses shall be tailored to specifically answer or clarify those portions of the Proposal Document necessitating an answer or clarification. Regardless of the nature of the Proposal as an "Offer," the addition of or reference to "boiler-plate" language, material or conditions shall not be used in the body of such a response and will be discarded and treated as if not part of the proposal and inclusion thereof may be grounds for rejecting the Proposal. Additionally, regardless of the nature of the proposal as an "Offer," any language in the proposal altering any portion of these General Conditions, particularly, but not limited to, the sections of these General Conditions titled "Infringements and Indemnifications," "Termination of Contract," "Equal Employment Opportunity," and "Disclosure," will be discarded and treated as if not part of the proposal and inclusion thereof may be grounds for rejecting the Proposal.
Unless otherwise provided in the Proposal Document, the contract stemming from this Proposal solicitation shall require that the successful Proposer purchase and maintain a policy of insurance to protect the successful Proposer and the Board from claims which may arise out of the contract stemming from this Proposal solicitation. Unless otherwise provided in the Proposal Document, such insurance policy shall be written for not less than one million dollars ($1,000,000.00) for any person injured in any accident and with a total liability of two million dollars ($2,000,000.00) for all persons injured in any one accident and in the amount of one million dollars ($1,000,000.00) for each accident or occurrence as compensation for damage caused to property of others.
The successful Proposer shall furnish a bond to the Board covering faithful performance of the contract arising out of that Proposal and payment of obligations arising there under in an amount equal to one hundred percent (100%) of the full sum provided for under the contract and that bond shall be conditioned upon the faithful performance of that contract and shall remain in effect for the duration of the contract term. This requirement may be satisfied by the successful Proposer posting a bond, or by providing a letter of credit or a cashier's check in the amount specified. If a bond satisfies the requirement, the surety for such bond shall be a surety company authorized to do business in the State of Ohio.
The Board, and any officers, employees, successors, administrators or agents of same, assume no responsibility nor liability for costs incurred in the preparation and/or submission of any Proposal.
No Proposal shall be withdrawn after it has been deposited with the Board. By submitting your Proposal, you agree to leave your proposal firm for one-hundred and twenty (120) days after the Proposal opening date unless some other duration is specified in the Proposal Document.
Montgomery County does not pay local, state, or Federal taxes. If requested, a Selected Proposer will be furnished with an exemption certificate.
Per ORC 307.862 (C), to ensure fair and impartial evaluation, proposals and any documents or other records related to this solicitation and any subsequent negotiation for a final Contract that would otherwise be available for public inspection and copying under section 149.43 of the Ohio Revised Code, shall not be available until after the award of the Contract(s). Award is defined as when the Contract is fully executed by all parties.
The Proposal Document may contain a sample contract document. If so, such contract document is an example of the contract document that the successful Proposer will be required to sign to evidence the Agreement between that successful Proposer and the Board stemming from this Proposal solicitation. Alternative contract documents submitted by the Proposer will not be accepted. The Board shall fill in all blanks contained in the sample before such document is presented to the successful Proposer for signature. Additionally, only one version of any multiple version paragraphs appearing in the sample shall be in the contract document presented to the successful Proposer for signature. In the rare case of an error in the Proposal Document, the actual contract document presented to the successful Proposer may differ from the sample.

A: Price evaluation will be based on the Project Total (without Supplementary Services) as identified on the Pricing Sheet, which includes all Tasks for Phase A and Phase B. Supplementary Services would, if elected by MCES, be authorized only at the conclusion of the project. Accordingly, pricing for Supplementary Services is requested for informational and planning purposes only and will not be included in the price evaluation.
Q (Submission Scoring Sheet ): Submission Scoring Sheet – What weighting will price be in the overall evaluation?
A: Price will be considered as part of MCES’s overall evaluation and best value determination; however, it is not assigned a separate numerical weighting in the Submission Score Sheet.
Q (Submission Scoring Sheet, Criteria 3.1, Project Schedule ): Submission Scoring Sheet, Criteria 3.1, Project Schedule – please confirm if MCES is evaluating the project schedule based only on Phase A (or both Phase A and B).
A: The project schedule should include both Phase A and Phase B.

Q (Cost Estimates): Phase A Task II requests “preliminary cost estimates” and Phase B Task III (c) requests “The Consultant shall submit a detailed cost estimate for project implementation at the 60 and 90 percent development milestones. The bid package and detailed cost estimate shall be in agreement”. Can MCES clarify the difference between Phase A and Phase B cost estimates (e.g. Class 3 versus Class 2 Cost estimates)?
A: The Phase A Task II “preliminary cost estimates” are intended to be high level, planning level estimates developed to support evaluation of alternative implementation approaches and a phased deployment strategy, as documented in the Technical Memorandum. These estimates are based on existing system conditions and conceptual recommendations. Phase B Task III(c) cost estimates are intended to be progressively refined and detailed, reflecting advancing bid package development at the 60% and 90% milestones, and shall result in a bid ready construction cost estimate that is consistent with the final bid package. MCES does not require the use of a specific cost estimate classification.
Q (No subject): What percentage of meters are in basements and meter pits?
A: There are approximately 60,438 service meters located outdoors and 27,332 located indoors. While we do not track the exact indoor location, meters are typically found in basements, utility rooms, or similar areas.
Q (No subject): How old is the existing infrastructure, will the existing AMI meters be replaced / retrofitted. How many have been replaced to date. What is the total meter count. Are there any Commercial meters
A: The existing Advanced Metering Infrastructure (28 collectors) is less than five years old, with replacements or repairs to date limited to warranty or routine maintenance activities. An evaluation of the existing system shall be performed by the selected firm as part of Phase A. The system includes approximately 87,000 service meters, including commercial meters.
Q (Attachement D): How Attachment D "County_Consultant_Contract_Sample" needs to be submitted
A: The Consulting Services Agreement is included as a reference for prospective firms and does not need to be submitted at this stage.
Q (Bond): Is the bond only required by the winning proposer at the time of award?
A: A Performance bond will not be required for this Agreement/Project.
Q (No subject): Is Montgomery Country considering alternative AMI technologies in addition to leveraging its existing investment (i.e. current AMI technology)?
A: Yes. Consideration of alternative AMI technologies will be informed by the selected firm’s evaluation of the existing AMI system conducted in Phase A.

A: The detailed technical specifications referenced in Phase B, Task III, Item 3.1 will be developed based on the selected firm’s evaluation of the existing AMI system conducted in Phase A. Accordingly, bidders should assume that the specifications may include requirements for some or all of these components.
Q (Phase B, Task III - Prepare Bidding Documents ): Phase B, Task III - Prepare Bidding Documents - Item 3.1 Prepare Bid Package (D) states "The Consultant shall, on behalf of MCES, coordinate with and obtain all required approvals from appropriate agencies and other external parties prior to submission of the bid package and cost estimate to the Board of County Commissioners of Montgomery County, Ohio, unless otherwise directed by MCES". Can you please clarify what is intended by "obtain all required approvals from appropriate agencies and other external parties"?
A: This requirement is intended to facilitate coordination with, and the obtaining of approvals from, relevant external agencies and third parties whose approvals may be necessary to support the selected implementation approach and to ensure that the bid package and associated cost estimates are complete, feasible, and suitable for submission to the Board for consideration. The specific approvals to be obtained will be informed by the selected firm’s Phase A evaluation and may be modified, limited, or otherwise directed at MCES’ discretion.
Q (Optional Pricing Items): Can additional pricing for optional services be included at the bottom of the Provided pricing sheet to cover related services often included for similar scopes of work?
A: No. Additional pricing for related services should not be included on the Pricing Sheet. The Pricing Sheet is structured to ensure that all proposers price the same defined Scope of Work. The final Agreement, Scope of Work, and Consultant’s Fee will be negotiated with the selected firm.
