      Sealed bids shall be received by the Township of North Brunswick, hereinafter referred to as “owner,” in accordance with public advertisement as required by law, with a copy of said notice being attached hereto and made a part of these specifications.

      Sealed bids shall be received by the designated representative date/time at the Municipal Complex located at 710 Hermann Road, North Brunswick, New Jersey 08902 as stated in the Notice to Bidders, and at such time and place will be publicly opened and read VIRTUALLY.

      As per N.J.A.C. 5:34-5, a vendor's bid shall be submitted ONLINE ONLY via this ONLINE PLATFORM. The link to this online platform is located via the Township's website at www.northbrunswicknj.gov. Proposals must be received by the website's "lockbox" and submitted by the due date/time indicated. No paper proposals shall be accepted.

      It is the bidder's responsibility to present bids to the owner prior to or at the time designated.

      Sealed bids submitted to the "lockbox" before the time of the opening of bids may be withdrawn online. Once bids have been opened, they shall remain firm for the period of sixty (60) calendar days.

      More than one bid from an individual, a firm or partnership, a corporation or association under the same names shall not be considered.

    • Background

      The 12.3 square miles of North Brunswick, a township of approximately 43,905 citizens (U.S. Census Bureau, Census 2020), is comprised of a growing number of residential, industrial and commercial firms, radiating from Route 1 and Route 130 interchange.

      The Township operates under a Mayor Council Administrator Plan, created by N.J.S.A. 40:69A-149.1 et seq. Under this plan, the Mayor and six Council Members are elected at partisan elections for terms of four years and three years, respectively. Council terms are staggered; therefore, an election is held annually for the Township.

      The Mayor, who has the responsibility of implementing the policies and direction of the Township Council, exercises power over the Township. The Township Administrator functions as the liaison officer between the Township Council, municipal personnel and citizens of the Township. The Township Administrator is also responsible for implementation of administrative and legislative actions of the Mayor and Township Council. 

      The Public Service and Electric and Gas Co. provides natural gas and electricity. The Township owns its own water utility which provides services to the Township and its own sewer utility through which wastewater is discharged into the Middlesex County Utilities Authority system for final collection, treatment, and disposal. 

      The Township owns and maintains several municipal facilities including, but not limited to, the Municipal Complex, the Department of Public Works facility, the Parks facility, the Public Library, the Senior Center, and preserved over 175 acres of Open Space land of which is under continuous review and development.    

    • Scope of Services

      The following specification is based upon a combination sewer cleaner as manufactured by Vactor, Mfg. Inc. Pursuant to N.J.A.C. 5:34-9.2 Use of brand name or equivalent. The listed brand name shall serve as a reference or point of comparison for the functional or operational characteristic desired for the good or service being requested. Where a bidder submits an equivalent, it shall be the responsibility of the bidder to document the equivalence claim. Failure to submit such documentation shall be grounds for rejection of the claim of equivalence.

      1. Scope

      It is the intent of this specification to provide for the purchase of one (1) new and unused combination catch basin cleaner and high velocity sewer cleaner.  The apparatus shall be capable of high-pressure sewer line cleaning while simultaneously vacuuming liquids and solids from sewers and catch basins.  Unit shall have 12 cubic yard debris body, up to 1,300-gallon water storage, and an articulating swinging hose reel mounted at the front.

      2. Technical Specifications

      Subframe

      1. The equipment shall be of modular design consisting of vacuum system, water tanks system, debris body and drive system.
      2. A subframe shall be fabricated to the exact dimensions of the truck chassis for mounting of modular components.
      3. All components of the module shall attach to the subframe and not directly to the chassis.
      4. Subframe shall be designed to ASME standards for maximum applied loads, chassis frame movement and even distribution of weight to the chassis and suspension. 
      5. Subframe shall be continuous and uninterrupted from back of cab to end of frame. 
      6. Any product submitted which mounts to the frame without utilization of subframe will be rejected. 

      Debris Body

      1. The body shall be cylindrical having a minimum usable liquid capacity of 12 cubic yards. 
      2. Debris storage body shall be constructed with a minimum 1/4" corrosion and abrasion resistant Ex-Ten steel. 
      3. The debris storage body shall have a minimum yield point of 50,000 PSI and a minimum tensile strength of 70,000 PSI. 
      4. Body shall have a rear door that is hinged at the top and is equipped with a replaceable neoprene type seal. Adjustable for periodic compensation of door seal wear.
      5. Dual outward mounted rear door props shall be included as standard to prevent operator from entering door swing path when engaging rear door prop. 
      6. For optimal particulate separation, vacuum shall be drawn from separate ports in the top of the debris body.
      7. Body shall be dumped by raising the body to a 50 degree angle utilizing forward mounted, double acting hydraulic dump cylinder. 
      8. Dump controls, accessory controls, e-stop control shall be provided at a central curb side location directly behind the cab of the truck. '
      9. For stability and safety, dumping must be accomplished while the pivot point of the body remains fixed to the subframe.
      10. Units designed with debris bodies which do not allow for a 50-degree dump angle and/or use push bars to remove debris will be deemed unacceptable and rejected without further review.
      11. Industrial style rear debris body door shall be flat, and shall open and close hydraulically by cylinders mounted at the top of the body. Door shall open 50 degrees from the fully closed position. Door shall be unlocked, opened, closed, and locked by a failsafe hydraulically activated sequential positive locking system, cam operated by a single hydraulic cylinder, with all controls located behind a truck cab, forward of the debris body, so operator is not subject to sewage when dumping. 
      12. The debris body shall be equipped with a rear door drain at 3 O’clock to drain off excess liquids while retaining solids and shall include a manually operated 6" knife valve with cam-lock coupler.
      13. The debris body shall be equipped with a rear door drain at 6 O’clock dead center to drain off excess liquids with an internal screen to prevent large solids from passing controlled by a manually operated 6" knife valve with cam-lock coupler and 25' of lay flat hose having camlock quick connects 
      14. Full Swinging Decant Screen: Available Only on Valve Installed at Lowest Point In Door shall be provided.
      15. Plumbing with 3" PVC pipe shall be provided from the trash pump to the curbside mid-ship with 3" x 25' drain hose having camlock quick connect fittings and shutoff valve.
      16. The debris body shall be equipped with a curb side forward mounted body drain to drain off excess liquids while retaining solids and shall include an air-activated 6" knife valve and screen with cam-lock coupler and 10' of lay flat hose. The switch shall be located at the mid-ship ball valve plate.
      17. (4) Dual vertical (cyclone) centrifugal separators shall be installed in-line between the debris body and the air mover, (2) per side for each debris body discharge port. Each dual separator shall include large fallout chamber cleanout door.
      18. For safety, a minimum of (5) vacuum tubes shall be stored on curbside storage racks to minimize operator exposure to traffic side of unit. Shall include quick release retainer handles (no bungees or clamps).
      19. A curb-side, folding 3-pipe rack shall be provided, constructed of steel tubing, spring assisted. Shall include quick release retainer handles (no bungees or clamps).
      20. A street-side, folding 3-pipe rack shall be provided, constructed of steel tubing, spring assisted. Shall include quick release retainer handles (no bungees or clamps).
      21. (2) Pipe Storage Racks on rear door with quick releases and (2) Pipe Storage Racks Curbside waist level.
      22. A splash shield shall be mounted around the lower 60% of door opening to direct liquid and debris away from the chassis. Shield shall be minimum 10" deep bolted assembly with no openings.
      23. A 6" valve, electrically activated, air operated valve debris body vacuum relief system shall be located in the inlet of the vacuum system to allow the venting of the tank and relieve vacuum at the debris intake hose. (3) Kunkel relief valves shall be installed after the filter. Designs using Kunkel vales installed before the filter will not be accepted.
      24. A debris inlet deflector distributing load evenly in debris body shall be included.

      Water Tanks

      1. The water tanks shall be manufactured from a non-corrosive material to prevent rust yet still provide for maximum strength. 
      2. The water tank material shall require no internal coating and shall be repairable if patching is required.
      3. The water tanks shall be easily removed from the subframe to provide complete access to the truck chassis for maintenance purposes.
      4. The water tanks shall be adequately vented and connected to provide complete filling.
      5. The water tanks shall be totally separate from the debris tanks and provide no structural support.
      6. The water tanks shall share no common walls with the debris tanks to prevent corrosion.
      7. The water tanks shall come equipped with an anti-siphon device and 25' of hydrant fill hose and fittings.
      8. The water tanks shall carry a 10-year warranty against corrosion or cracking. 
      9. All water tanks shall be fully baffled to form a maximum compartment storage of 150 gallons for each compartment. Has determined that for the stability of the vehicle when turning and stopping and for safety of personnel that systems baffled at 150 maximum gallon compartments are preferred. Exceptions of requirement shall be explained in detail accompanied with detailed engineering drawings.
      10. The water tank shall be located for the lowest possible center of gravity while providing 100% gravity flooded intakes to water pump.
      11. Fresh water shall enter the tanks through an in line 6" air gap, all aluminum covered anti-siphon device.
      12. Water level sight tubes of non-yellowing plastic shall be installed on both tanks.
      13. The sides of these water tanks shall not extend more than 48" out from the centerline of the truck chassis.
      14. A fresh water drain system shall be provided to completely drain the fresh water system from one location utilizing the 3" Y-strainer on the pump.
      15. A minimum 6" connection between tanks shall be provided.
      16. For stability safety, the water tanks shall not elevate with debris body during dump cycle.
      17. An air purge system utilizing the chassis air system shall be provided to assist displacing of residual water out of the high-pressure water system. System shall utilize the truck chassis air compressor to fill a 13-gallon auxiliary air storage chamber with pressure gauge and pressure protection valves to isolate the holding tank from the chassis compressor. System shall be equipped with ball valve and all necessary high pressure piping hoses, couplings and controls.
      18. A 3 in-line "Y" trap strainer shall be located at inlet of water tank fill air-gap.
      19. A 3 in-line "Y" trap stainless steel strainer shall be located between the water cells and water pump.
      20. A 3" Gate Valve shall be provided at water pump.
      21. Water tank must be a certified metered capacity of 1300 gallons.
      22. Water tanks shall be constructed of 1/8" aluminum with baffled compartments maximum 150 gallons each.
      23. Liquid Float Level Indicator shall be provided.
      24. The water tanks shall be equipped with sacrificial anodes providing the ability to corrode—or "sacrifice" themselves—via galvanic corrosion, attracting rust and deterioration away from the primary metal to prevent costly structural damage. Units designed with metal tanks without sacrificial anodes or plastic tanks shall be deemed unacceptable and rejected without further review. 

      Water Pump System

      1. For safety and efficiency, the unit must be equipped with technology which allows the operator to set a maximum pressure allowance which limits water pressure regardless of engine RPMs to prevent damage to pipes or homeowner’s property. This will maintain target PSI at maximum engine RPMs.
      2. For most efficient use of horsepower and reduced fuel consumption, high pressure rodder pump shall be hydraulically driven via (1) load sensing utility pump, (1) variable displacement pump and (1) fixed displacement pump.
      3. For most efficient use of horsepower and reduced fuel consumption, high pressure rodder pump shall be hydraulically driven via (2) variable displacement pumps.
      4. Hydraulic powered rodder pump via twin variable displacement hydraulic pumps and (1) fixed displacement utilizing (2) 10-bolt PTO's shall be provided.
      5. High pressure water pump shall be rated capable of continuous delivery of 100 GPM at 2500 PSI (submit manufacturer support documentation).
      6. High-pressure water (rodder) pump system shall allow front mounted controls for operation of three modes: (1) Low flow range 0-22 GPM; (2) medium-flow range, 22-60 GPM / 2500 psi; and (3) High-flow range: 60 up to 100 GPM / 2500 psi.
      7. High-pressure water (rodder) pump system shall be completely controlled through the range with use of the MultiFlow Control and throttle located on the control panel.
      8. This hydraulic drive system shall allow variation of water pump speed independent of required vacuum drive speed within maximum drive engine speed of 1760 RPM.
      9. Water pump speed to remain fully adjustable via an independent operator input regardless of the selected vacuum drive speed.
      10. Variable flow systems routing water back-to-tank are not considered equal due to additional wear, horsepower and fuel consumption. Any deviation from this drive requirement should have full explanation of horsepower consumption.
      11. Water (rodder) pump shall include smooth and pulsation operation mode feature without altering pump flow.
      12. When required to assist nozzle breaking through obstructions, water pump "pulsation mode" shall provide a forward-acting nozzle surge. Pulsation surge wave shall allow nozzle to punch forward 2" to 18" depending on flow dynamics and length of hose in sewer pipe.
      13. Water pump location shall provide a flooded gravity suction inlet to eliminate potential cavitations damage.
      14. An oil to water heat exchanger will be provided in the water system to cool all hydraulic fluids on the unit. State horsepower requirement to operate hydraulics at full speed.
      15. The water pump shall provide precise 0-80 GPM controlled flow at variable pressure up to 2500 PSI.
      16. An extreme cold weather recirculation system - minimum 25 GPM via transmission PTO at chassis engine idle speed.
      17. A hydro-pneumatic nitrogen charged accumulator system shall be provided with all control valves, piping and hoses for either continuous flow or jackhammer rodding. Accumulator shall be a 2.5 gallon capacity and 1000 to 2500 PSI pressure rating.
      18. Two (2) 1/2" high pressure ball valves shall be provided for draining the water pump and flushing sediment from the bottom of the pump.
      19. A nozzle rack accommodating (3) nozzles shall be provided in curbside toolbox. The nozzles shall be labeled on storage rack for pipe size/flow and application.
      20. Handgun shall be supplied that allows for changing of flow pattern from a fine mist to a steady stream.
      21. Handgun shall come equipped with quick connect couplers.
      22. An additional 1" water relief valve shall be provided.
      23. A mid-ship quick disconnect handgun couplers shall be provided.
      24. Front and rear quick disconnect handgun couplers shall be provided.
      25. A high-pressure hose reel capable of operating at system pressure shall be provided.

      Vacuum/Vacuum Drive System

      1. Blower shall be driven by the chassis engine and shall produce inlet volume of 4500 cfm @ 0" hg @ 2250 rpm, and 3490 cfm @ 18" hg @ 2250 rpm vacuum (Roots 824RCS 18 or equal). Drive engine not to exceed 1760 RPM. 
      2. The vacuum drive system shall be designed with a transfer case which shall be activated by air via a one touch control located in cab with animated confirmation on screen.
      3. For safety and component protection, units not utilizing transfer cases and units designed with front and rear mounted direct drive PTOs will be deemed unacceptable.
      4. For added protection, the vacuum system shall have three (3) relief valves set at 18" hg, heavy duty horizontal mounted noise muffler, removable and cleanable stainless steel filter screen, and shall be enclosed with a steel cage guard for safety.
      5. Ball valve drains shall be provided for both the final filter and silencer to be able to drain any carryover that comes from the debris body.
      6. Vacuum hose shall be designed for front operation with hose mounted and stored at front mounted work station. Front mounted location is required for ease of positioning vacuum hose as well as minimizing need for operator to swing hose into traffic.
      7. All connections between debris body and vacuum system will be of the self-adjusting pressure fitting type.
      8. Vacuum hose will remain stationary and not rise with debris body.
      9. Upper debris tube shall consist of an anchored steel tube and elbow.
      10. A sub-frame mounted cab guard shall be mounted behind cab with boom rest cradle.
      11. All vacuum pipes shall be connected to vacuum pick up tube and extension pipes by adjustable over-center quick clamps to join the aluminum flanges on pipes.
      12. One (1) quick clamp for each pipe supplied shall be provided.
      13. Boom pedestal shall be directly mounted to module subframe.
      14. Boom support used for travel mode shall not interfere with access or require removal to tilt hood forward.
      15. A control station shall be equipped with control switches for all directions as well as a safety emergency shut-down button, which shall automatically eliminate power to boom.
      16. A control station shall be equipped with a control joystick for all directions as well as a safety emergency shut-down button, which shall automatically eliminate power to boom.
      17. For safety and protection of the drive system, units utilizing emergency shutdowns which immediately stop the engine will not be accepted.
      18. The vacuum boom shall have a heavy-duty flexible hose assembly joining the transition pipe to the debris body, and a 70-degree elbow and 5-1/2 heavy duty hose at the suction end of the boom.
      19. Boom shall rotate 180 degrees and shall be operated by an electric over hydraulic system. Lift and swing movements shall be actuated by hydraulic cylinders.
      20. The horizontal inner steel vacuum tube and inner box beam boom section shall telescope (tube within tube, box beam within box beam) and retract a minimum of 10' without affecting the vertical position of the pick-up tubes, and shall be located at the front work station in its retracted position, providing 324" maximum reach off the longitudinal axis of unit.
      21. A grate lifting hook shall be installed on the boom.
      22. A water ring assembly shall be installed in the vacuum suction hose at the debris body inlet for cleanout purposes.
      23. A cordless remote boom control system equipped with a joystick to activate boom functions, hose reel in/out. The remote shall have functions for hose reel speed throttle, water pump on/off, vacuum relief on/off and emergency disengagement e-stop shall be provided. The remote must allow for proportional speed control of the boom and reel functions. On/Off buttons for reel operation will be deemed unacceptable.
      24. A rotatable inlet hose for telescopic boom shall be provided.
      25. A detailed engineering drawing must be supplied showing the relationship of the hose reel in relation with the vacuum boom range of motion. Drawing shall show module mounted on chassis, full arc of vacuum hose both retracted and extended, full rotation of arc for hose reel in the extended position and dimension all arc lengths of vacuum boom retracted and extended. Drawing shall highlight intersection areas whereby combination cleaning is possible (within full arc on telescoping boom system). 
      26. A boom out of position indicator shall be installed.

      Hose Reel

      1. Hose reel assembly shall be direct frame mounted. 
      2. Hose reel shall rotate 270 degrees.
      3. Hose reel assembly shall be mounted on an independent frame that can be removed from brackets attached permanently to front of main truck frame members.
      4. Reel will be manufactured out of 1/4" spun steel for added structural strength and shall require no internal or external reinforcements that could damage rodder hose.
      5. Hose reel shall be driven by adjustable gear reduction chain and sprocket assembly.
      6. Hose reel shall operate at full rotational speed while chassis engine is at idle.
      7. For safety and ease of operation, the front mounted hose reel shall telescope 15" forward down centerline of truck without requiring a jack stand. Units requiring jack stands on the from reel will be deemed unacceptable.
      8. Controls shall accessible on both sides of the hose reel via a mounting station for the belly pack wireless remote control, allowing operator to work at either side of unit for safety purposes.
      9. 600' x 1" Piranha Sewer Hose / 2500 Psi shall be provided.
      10. An automatic hose level wind scroll device shall be supplied. An air-cylinder actuated pinch-roller shall exert downward pressure across full width of reel to retain hose on reel when encountering nozzle blockages.

      12. 10’ leader hose shall be provided.
      13. A hose footage counter shall be supplied to indicate the amount of hose travel within pipe.
      14. A digital large easy to read LCD screen located on the front control panel screen footage counter displaying footage values shall be provided. System must be capable of resetting value to ensure operator safety. Accuracy shall be within one percent of actual distance.

      Washdown Equipment

      1. Hand sprayer with adjustable spray-pattern to be provided with trigger-style gun.

      Front Operating Station and Controls

      1. Primary operator station will be located at front of hose reel. 
      2. All front operator controls shall be accessible while operating either front or rear side of reel assembly. All operations to either side of unit shall position operator in front of vehicle affording protection from oncoming traffic.
      3. All operator controls should be located on a single control panel that can be rotated on a 90-degree arc for an operator customizable location. The control panel shall also feature the ability to raise and lower to accommodate operators of different height.
      4. Station shall include truck engine throttle, water pump (on/off), water pump mode, water pump flow meter, hose reel control valve (forward / reverse), adjustable hose reel speed control, oil dampened water pressure gauge, boom controls, digital water pump flow meter, and digital low water warning light.
      5. Station shall include a Touch enabled display screen with corresponding tactile buttons for reading critical machine data including (hose footage, hose reel speed settings, water pressure, water flow. Air mover information, chassis data, mode indicator, chassis fuel level, and diagnostic controls), Back lit button keypads with, laser etched function icons, and 4 light feedback indicators. These buttons shall operate the following functions: All setup functions (remote/panel selector, work lights, hose reel extend/retract, hose reel lock, and pinch roller activation) and Vacuum functions. Additionally, there will be separate sealed rocker switches for Water Pump on/off and throttle up/down. There shall be a multi flow control dial for controlling the full range of the water pump.
      6. There shall be a hose reel joystick to control the pay in and pay out of the hose reel, this joystick shall offer speed control that increases the further the joystick is moved in either direction. There shall be an additional hose reel speed dial for setting specific speed ranges of the reel. There shall be a boom joystick that controls all function of the boom including up/down, left/right, and extend/retract. There shall be a E-Stop button to bring all machine.
      7. Tachometer and hour meter for chassis engine provided at control station shall be provided.
      8. All Hydraulic Functions - Color Coded, Sealed Electric/Hydraulic NEMA 4 switches shall be provided.
      9. Front control screen shall display a water level indicator to show level of water through the range of the tank.
      10. Front control screen shall display the debris body level.

      CAN-BUS System

      1. Units proposed must be designed with a CAN bus system to allow for simple communication between ECUs and sensors without complex dedicated wiring in between. Designs not utilizing CAN BUS will be deemed unacceptable. 
      2. The CAN bus system shall allow for central error diagnosis and configuration across all ECUs.
      3. The CAN bus system shall allow for data transfer speeds far outstrip traditional analog wiring harnesses since multiple messages can be sent simultaneously to all connected devices, sensors or actuators.
      4. The CAN bus shall be less sensitive to magnetic interference than analog wiring, and requires fewer cables and connectors, drastically cutting down on points of failure thus making it ideal for vehicles and industrial equipment.
      5. ECUs shall communicate via a single CAN Interface, i.e. not direct analogue signal lines, reducing errors, weight, costs, etc.

      In Cab Controls

      1. All In cab controls are to be located on a single in cab control screen. This shall be a full color display screen. It shall utilize 12 back lit tactile (glove ready) buttons on the sides of the screen as well as feature touch screen operation. 
      2. All Back up camera Features shall be displayed on the In Cab Control Screen.
      3. All work lights shall be able to be activated or deactivated in cab with on screen controls.
      4. Jet or Combo mode shall be activated via one touch button on the control panel. Control screen must display an on-screen representation of the chassis drive system and must animate to show as drive systems activate or deactivate.

      Electrical & Safety Lighting

      1. The electrical system for the sewer cleaning body shall have an easily accessible disconnect switch located on the boom rest.  
      2. The entire system shall be vapor sealed to eliminate moisture damage, "Nema-4" type or equal.
      3. All electrical connections shall be void of exposed wires or terminals nor should they be painted. Paint process shall be completed prior to installation of wiring.
      4. All wiring shall be color-coded and encased in conduit to scaled terminal boxes with circuit breakers.
      5. All other lights required by State and Federal Laws.
      6. A pistol grip hand light with retractable reel shall be provided.
      7. Operator station work lights shall be provided.
      8. Operator station shall have back lit buttons for low light operation.
      9. (2) L.E.D. Self leveling boom worklights shall be provided.
      10. (2) L.E.D. Rear door work lights shall be provided.
      11. L.E.D. Lights, Clearance, Back-Up, Stop, Tail & Turn shall be provided.
      12. A LED arrowstick shall be installed at the rear of the unit to provide directional control for approaching traffic.
      13. A beacon light shall be installed at the rear of the unit. A limb guard shall be provided with the light for additional protection.
      14. A beacon light shall be installed at the front of the module. A limb guard shall be provided with the light for additional protection.

      Safety Equipment

      1. E-stop shall be located at each operator interface location. Standard locations to include: front hose reel, mid-ship curbside dump controls, & wireless controller (if equipped.)
      2. Electrical system controls shall be configured to allow for single point operation only. Upon engagement of controls at specified locations, additional controls shall be disabled.
      3. Electrical system must enable self-check to ensure all switches are in home position prior to critical function enablement. System must "lock out" controls when switch is not in home position.
      4. Rear work lights shall be activated upon engagement of reverse gear.
      5. A 7" dash monitor, 2-camera system shall be provided. A Front Hose Reel Color Camera with 130 deg Viewing Angle shall be provided to provide a front visual of the manhole cover to aid in equipment set-up. A rear back-up color camera with 130 deg viewing angle shall be provided. Camera to have automatic activation when the unit is switched to reverse.
      6. A debris body out of position alarm to indicate when debris body is not in the proper stowed position.

      Paint

      1. All exposed metal surfaces shall be professionally prepared for painting and protected by the application of a wash primer and alkyd sealer/primer.
      2. The unit shall be painted white. 

      Warranty

      1. To assure an acceptable standard of quality, unit shall be manufactured at an ISO-9001 certified factory. Units not manufactured in an ISO certified factory will not be accepted. 
      2. Manufacturer's warranty shall be not less than three (3) years on the unit, including parts and labor.

      Service & Training

      1. After delivery, a qualified technician shall provide complete training to Township personnel.  Training shall include safety, operation, maintenance and service.

      Extended Training and Equipment Inspections

      1. Subsequent additional scheduled training and complete vehicle inspection sessions, by a qualified technician, shall be provided.
      2. The training and inspection sessions shall be at the end of each of the first four (4) quarters following delivery.  These inspection and training sessions shall effectively provide one full year of on-going training and equipment evaluation.
      3. A written schedule of all four (4) post-delivery inspection dates shall be considered an essential part of the delivery, without which, the delivery will be incomplete.
      4. At the completion of each inspection and training, the vendor shall submit a comprehensive written report to the Township fully describing the condition of the equipment and the training topics covered.
      5. Bidder must submit a sample report detailing the specific items which will be evaluated at each training and inspection.  The quality and thoroughness of this report will be used in evaluating proposals. Proposals not including a sample report will not be considered. 

      Vehicle to be delivered in full compliance with the Federal Inspections Standards and will have a decal attesting to its inspection valid for minimum of 1 year. MSO with the Township of North Brunswick, NJ listed as the first owner of the vehicle. Vehicles should be on the lot and/or able to be delivered within 30 days of contract award.

       

       

    • Interpretations and Addenda

      The bidder understands and agrees that its bid is submitted on the basis of the specifications prepared by the owner. The bidder accepts the obligation to become familiar with these specifications.

      Bidders are expected to examine the specifications and related bid documents with care and observe all their requirements. Ambiguities, errors or omissions noted by bidders should be promptly reported in writing to the appropriate official. Any prospective bidder who wishes to challenge a bid specification shall file such challenges in writing with the contracting agent no less than three business days prior to the opening of the bids. Challenges filed after that time shall be considered void and have no impact on the contracting unit or the award of a contract pursuant to N.J.S.A. 40A:11-13; in the event the bidder fails to notify the owner of such ambiguities, errors or omissions, the bidder shall be bound by the requirements of the specifications and the bidder’s submitted bid.

      No oral interpretation and or clarification of the meaning of the specifications will be made to any bidder. Such request shall be in writing, addressed to the owner’s representative listed herein below.       All interpretations, clarifications and any supplemental instructions will be in the form of written addenda to the specifications and will be distributed to all prospective bidders.       Discrepancies in Bids

      • If the amount shown in words and its equivalent in figures do not agree, the written words shall be binding. Ditto marks are not considered writing or printing and shall not be used.
      • In the event that there is a discrepancy between the unit prices and the extended totals, the unit prices shall prevail. In the event there is an error of the summation of the extended totals, the computation by the owner of the extended totals shall govern.
    • Bid Security and Bonding Requirements

    • Pricing Information for the Preparation of BIDs

      The owner is exempt from any local, state or federal sales, use or excise tax. The owner will not pay for N.J. State Sales and Use Tax that are included in any invoices.

      Estimated Quantities (Open-End Contracts): The owner has attempted to identify the item(s) and the estimated amounts of each item bid to cover its requirements; however, past experience shows that the amount ordered may be different than that submitted for bidding. The right is reserved to decrease or increase the quantities specified in the specifications pursuant to N.J.A.C. 5:30-11.2 and 11.10 et seq. NO MINIMUM PURCHASE IS IMPLIED OR GUARANTEED.

      Contractor shall be responsible for obtaining any applicable permits or licenses from any government entity excluding the Township. All bids submitted shall have included this cost. The owner shall waive any municipal fees and permits.

      Bidder shall insert prices for furnishing goods and services required by these specifications. Prices shall be net, including any charges for packing, crating, containers, etc. All transportation charges shall be fully prepaid by the contractor, F.O.B. destination and placement at locations specified by the owner, which may require use of a liftgate vehicle. As specified, placement may require inside deliveries. No additional charges will be allowed for any transportation costs resulting from partial shipments made for the contractor's convenience.

      In the event of a public emergency declared at the local, state or federal level prior to the expiration of the contract, if the owner opts to extend terms and conditions of the contract, the contractor agrees to extend the terms and conditions of this specification, whether existing or expiring for no longer than six months, for goods and/or services for the duration of the emergency.

      Each bid and all information required to be submitted pursuant to the bid shall be prepared at the sole cost and expense of the bidder. There shall be no claims against the owner, its staff or consultants for reimbursement for the payment of costs or expenses incurred in the preparation of the proposal or other information required by the bid.

    • Brand Names, Standards of Quality and Performance

      Brand names and/or descriptions used in these specifications are to acquaint bidders with the types of goods and services desired and will be used as a standard by which goods and services offered as equivalent will be evaluated.

      When a specification uses "brand name or equivalent," the listed brand name shall serve as a reference or point of comparison for the functional or operational characteristic desired for the good or service being requested. Where a bidder submits an equivalent, it shall be the responsibility of the bidder to document the equivalence claim. Failure to submit such documentation shall be grounds for rejection of the claim of equivalence. Company literature will not suffice in explaining exceptions to the specifications. In the absence of any changes by the bidder, it will be presumed and required that items as described in the specification will be delivered.

      In submitting its bid, the bidder certifies that the goods and services to be furnished will not infringe upon any valid patent or trademark and that the successful bidder shall, at its own expense, defend any and all actions or suits charging such infringement, and will save the owner harmless from any damages resulting from such infringement.

      The contractor shall guarantee any or all goods and services supplied under these specifications. Defective or inferior goods shall be replaced at the expense of the contractor. The contractor will be responsible for return freight or restocking charges.

      AMERICAN GOODS AND PRODUCTS RO BE USED WHERE POSSIBLE
      Only manufactured and farm products of the United States, wherever available, shall be used pursuant to N.J.S.A. 40A:11-18 et seq.

    • Method of Contract Award

      The length of the contract shall be stated in one or more of following locations: the technical specifications, the proposal page, and the contract agreement. Pursuant to requirements of N.J.A.C. 5:30-5.1 et seq., any contract resulting from this bid shall be subject to the availability and appropriation of sufficient funds annually.

      Pursuant to N.J.S.A 40A:11-4(a) et seq. if the award is to be made on the basis of a base bid only, it shall be made to that responsible bidder submitting the lowest base bid that has demonstrated to the owner the ability to meet the terms and conditions outlined herein.

      If the award is to be made on the basis of a combination of a base bid with selected alternates, the alternates will be awarded based on the order specified in the proposal sheet.

      Two sets of contract forms shall be submitted by the owner to the successful bidder upon award by resolution of the governing body. Once executed, one original set will be returned to the contractor for its records.

      The terms and conditions outlined within this bid package shall become incorporated and made part of the contract agreement. After award, certificates of insurance, bonding and related documents furnished by the contractor shall become incorporated and made part of the contract agreement.

      Any bidder exceptions must be formally accepted by the owner; material exceptions shall not be approved.

      For Construction Contracts that include drawings issued by the owner. After the notice of award and prior to signing the contract, the owner will furnish the contractor with a complete set of drawings designated “For Construction”. These drawings will incorporate revisions made by addendum during the bidding process, dimensional changes and any other changes needed to clarify the drawings used for bidding purposes. The contractor shall review the drawings and notify the owner in writing if any exceptions are proposed. Any proposed changes must be formally accepted by the owner.

      The procedure for selecting the lowest responsible qualified bidder when two identical bid amounts are received shall include an evaluation committee tasked to determine the most advantageous bidder based on experience and other factors.

    • Causes for Rejecting BIDs

      BIDs may be rejected for any of the following reasons:

      • All bids pursuant to N.J.S.A. 40A:11-13.2;
      • If more than one bid is received from an individual, firm or partnership, corporation or association under the same name;
      • Multiple bids from an agent representing competing bidders;
      • The bid is inappropriately unbalanced;
      • The bidder is determined to possess, pursuant to N.J.S.A. 40A:11-4b, Prior Negative Experience; or,
      • Pursuant to N.J.S.A. 40A:11-24b, if the successful bidder fails to enter into a contract within 21 days, Sundays and holidays excepted, the owner may accept the bid of the next lowest responsible bidder.
    • Provisions upon Contract Execution

      Both parties agree to comply with all requirements of the Federal Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) as maybe amended from time to time, and the corresponding HIPAA regulations for the confidentiality and security of medical information. If awarded the bid, the contractor shall:

      • Not use or disclose protected health information other than as permitted or required by law
      • Use appropriate safeguards to protect the confidentiality of the information
      • Report any use or disclosure not permitted; The contractor, by execution of the contract, shall thereby indemnify and hold the owner harmless from any and all liabilities, claims, actions, costs and penalties which may be incurred as the result of the failure of the contractor to comply with the requirements of the Health Insurance Portability and Accountability Act (HIPAA) or any other statute or case law protecting the privacy of persons using its services.

      The owner shall retain all of its rights and interest in any and all documents and property both hard copy and digital furnished by the owner to the successful bidder (contractor) for the purpose of assisting the contractor in the performance of this contract. None of the documents and/or property shall, without the written consent of the owner, be disclosed to others or used by the contractor or permitted by the contractor to be used by their parties at any time except in the performance of the resulting contract.

      The contractor shall not have the right to use, sell, or disclose the total of the interim or final work products, or make available to third parties, without the prior written consent of the owner. Any information supplied to the owner may be required to be supplied on CD/DVD or USB flash drive media compatible with Microsoft Windows, and Microsoft Office Suite 2010 or greater.

      Under state and federal statutes, certain government records are protected from public disclosure. The owner, the contractor and any subcontractors have a responsibility and an obligation to safeguard from public access an employee's personal information with which it has been entrusted when disclosure thereof would violate the employee's reasonable expectation of privacy. All payroll, personnel and health insurance related files are confidential. Additionally, the contractor and any subcontractors may be privy to sensitive law enforcement information or investigations during their review which must remain confidential. The owner retains the right to make any public disclosure under the State of New Jersey’s Open Public Records Act (N.J.S.A. 47:1A-1 et seq.). Also, among government records deemed confidential are administrative or technical information regarding computer hardware, software and networks that, if disclosed, would jeopardize computer security. The contractor and any subcontractor(s) are prohibited from the sale or distribution of all supplied information to any third party.

      Relevant records of private vendors or other persons entering into contracts with the owner as a covered entity are subject to audit or review by the New Jersey Office of the State Comptroller pursuant to N.J.S.A. 52:15C-14(d) et seq. and N.J.A.C. 17:44-2.2 et seq.

      The contractor shall maintain all documentation related to products, transactions or services under this contract for a period of five years from the date of final payment. Such records shall be made available to the New Jersey Office of the State Comptroller upon request.

      NEW JERSEY WORKER AND COMMUNITY RIGHT TO KNOW ACT
      The manufacturer or supplier of chemical substances or mixtures shall label them in accordance with the N.J. Worker and Community Right to Know Law (N.J.S.A. 34:5A-1 et seq., and N.J.A.C 8:59-1.1 et seq.,). All direct use containers shall bear a label indicating the chemical name(s) and Chemical Abstracts Service number(s) of all hazardous substances in the container, and all other substances which are among the five most predominant substances in the container, or their trade secret registry number(s) pursuant to N.J.A.C. 8:59-5. "Container" means a receptacle used to hold a liquid, solid or gaseous substance such as bottles, bags, barrels, cans, cylinders, drums and cartons. (N.J.A.C. 8:59-1.3). Further, all applicable Material Safety Data Sheets (MSDS) - hazardous substance fact sheet - must be furnished. All containers which are stored at an owner’s facilities by the contractor or subcontractors shall display RTK labeling.       ANTIDISCRIMINATION PROVISIONS
      Pursuant to N.J.S.A.10:2-1 et seq., for the construction, alteration or repair of any public building or public work or for the acquisition of materials, equipment, supplies or services the contractor shall agree and comply with the provisions:

      • In the hiring of persons for the performance of work under this contract or any subcontract hereunder, or for the procurement, manufacture, assembling or furnishing of any such materials, equipment, supplies or services to be acquired under this contract, no contractor, nor any person acting on behalf of such contractor or subcontractor, shall, by reason of race, creed, color, national origin, ancestry, marital status, gender identity or expression, affectional or sexual orientation or sex, discriminate against any person who is qualified and available to perform the work to which the employment relates;
      • No contractor, subcontractor, nor any person on his behalf shall, in any manner, discriminate against or intimidate any employee engaged in the performance of work under this contract or any subcontract hereunder, or engaged in the procurement, manufacture, assembling or furnishing of any such materials, equipment, supplies or services to be acquired under such contract, on account of race, creed, color, national origin, ancestry, marital status, gender identity or expression, affectional or sexual orientation or sex;
      • There may be deducted from the amount payable to the contractor by the contracting public agency, under this contract, a penalty of $50.00 for each person for each calendar day during which such person is discriminated against or intimidated in violation of the provisions of the contract; and
      • This contract may be canceled or terminated by the contracting public agency, and all money due or to become due hereunder may be forfeited, for any violation of this section of the contract occurring after notice to the contractor from the contracting public agency of any prior violation of this section of the contract.

       

    • Payment

      No payment will be made unless duly authorized by the owner’s authorized representative and accompanied by proper documentation.

      The owner’s governing body must approve payment of all bills. Council action is taken on a routine basis that includes bi-weekly meetings with the exception of summer months including: June, July and August; whereby action is taken once a month.

      Payment by the owner will be made in accordance with P.L. 2018, c. 127 which amends C.52:32-34 and establishes prompt payment requirements on certain contracts.

      Payment by the owner will be made in accordance with N.J.S.A. 2A:30A-1 et seq. which promulgates rules for timely payment to the prime contractor, subcontractor, sub-subcontractor; exceptions, disputes; and resolution.

      For construction contracts, claims or disputes pertaining to rates or other compensation for the Contractor shall not delay or affect the continued performance of the contract. All claim disputes shall be in accordance with N.J.S.A. 40A:11-50 et seq.

      Invoices shall specify, in detail, the period for which payment is claimed, the goods received, or the services performed during the prescribed period, the amount claimed and correlation between the goods and services claimed and this proposal.

      In the absence of prescribed payments as part of the bid submission, an agreed schedule of values shall be approved between the owner and contractor that shall become part of the contract.

      Pursuant to N.J.A.C. 5:30-9A.6 et seq. the Township exercised its discretion to not require claimant certifications for the payment of claims, including goods and services contracts, in accordance with Resolution 116-5.18.

      Payment shall be made in accordance with Chapter 6 of the Municipal Code titled “Claims Procedure”.

      The owner may withhold all or partial payments on account of subsequently discovered evidence including but not limited to the following:

      • Deliverables not complying with the project specification;
      • Claims filed or responsible evidence indicating probability of filing claims;
      • A reasonable doubt that the contract can be completed for the balance then unpaid.

      When the above grounds are removed, payment shall be made for amounts withheld because of them.

      Public funds may be used to pay only for goods delivered or services rendered. The owner shall not pay penalties and/or interest on overdue bills unless otherwise required under N.J.S.A. 52:32-35.

      No employee is authorized to sign a letter of credit or any other document that represents a legal commitment on the part of the owner to pay additional fees.

      Construction Contracts. Claims or disputes pertaining to rates or other compensation for the Contractor shall not delay or affect the continued performance of the contract. All claim disputes shall be in accordance with N.J.S.A. 40A:11-50 et seq.

       

    • Termination or Breach of Contract

      If, through any cause, the contractor shall fail to fulfill in a timely and proper manner obligations under the contract or if the contractor shall violate any of the requirements of the contract, the owner shall there upon have the right to terminate the contract by giving written notice to the contractor of such termination and specifying the effective date of termination. Such termination shall relieve the owner of any obligation for balances to the contractor of any sum or sums set forth in the contract. Owner will pay only for goods and services accepted prior to termination.

      Notwithstanding the above, the contractor shall not be relieved of liability to the owner for damages sustained by the owner by virtue of any breach of the contract by the contractor and the owner may withhold any payments to the contractor for the purpose of compensation until such time as the exact amount of the damage due the owner from the contractor is determined.

      The contractor agrees to indemnify and hold the owner harmless from any liability to subcontractors/suppliers concerning payment for work performed or goods supplied arising out of the lawful termination of the contract by the owner under this provision.

      In case of default by the contractor, the owner may procure the goods or services from other sources and hold the contractor responsible for any excess cost, or agree on a negotiated liquidated damage amount where it may be difficult to estimate the impact the owner suffered as a related to breach of the contract (N.J.S.A. 40A:11-19).

      Continuation of the terms of the contract beyond the fiscal year is contingent on availability of funds in the following year's budget. In the event of unavailability of such funds, the owner reserves the right to cancel the contract. The owner will notify the contractor in writing immediately if this contract will be affected by a shortage of appropriated funds.

      It is understood by all parties that if, during the life of the contract, the contractor disposes of his/her business concern by acquisition, novation, merger, sale and or/transfer or by any means convey his/her interest(s) to another party, all obligations are transferred to that new party. In this event, the new owner(s) will be required to submit all documentation/legal instruments that were required in the original bid/contract. Any change shall be approved by the Owner.

      The contractor will not assign any interest in the contract and shall not transfer any interest in the same without the prior written consent of the owner.

      Neither party shall be responsible for any resulting loss or obligation to fulfill duties as specified in any of the terms or provisions of the contract if the fulfillment of any term or provision of the contract is delayed or prevented by any revolutions, insurrections, riots, wars, acts of enemies, national emergencies, strikes, floods, fires, acts of God, or by any cause not within the control of the party whose performance is interfered with which by the exercise of reasonable diligence such party is unable to prevent. Additionally, if the fulfillment of any of the terms and provisions of the contract is delayed or prevented by any court order, or action or injunction or other such agreement, the contract shall become voidable by the owner by notice to the parties.

    • Public Works Contractor Registration Certificate

      Pursuant to N.J.S.A. 34:11-56.48 to -57 et seq. the New Jersey Public Works Contractor Registration Act requires that a general or prime contractor and any listed subcontractors named in the contractor’s bid proposal shall possess a certificate at the time the bid proposal is submitted. After bid proposals are received and prior to award of contract, the successful contractor shall submit a copy of the contractor’s certification along with those of all listed subcontractors. All non-listed subcontractors and lower tier sub-subcontractors shall be registered prior to starting work on the project. It is the general contractor’s responsibility that all non-listed sub-contractors at any tier have their certificate prior to starting work on the job. Under the law a “contractor” is “a person, partnership, association, joint stock company, trust, corporation or other legal business entity or successor thereof who enters into a contract” which is subject to the provisions of the New Jersey Department of Labor and Workforce Development Prevailing Wage Act [N.J.S.A. 34:11-56.25, et seq.]. It applies to contractors based in New Jersey or in another state.

      To register, a contractor must provide the State Department of Labor with a full and accurately completed application form. The form is available online at www.state.nj.us/labor/lsse/lspubcon.html. Any questions regarding the registration process should be directed to the Division of Wage and Hour Compliance at (609) 292-9461. N.J.S.A. 34:11-56.55 specifically prohibits accepting applications for registration as a substitute for a certificate of registration.

    • Subcontractors (required)

      If the bidder intends to subcontract any portion of the work required as part of this contract, it shall first satisfy that any proposed subcontractor is competent to perform such work and is not barred from public contracts work pursuant to N.J.S.A. 34:11-56.37 and N.J.S.A. 34:11-56.38.
      When provided as part of this bid, the bidder shall indicate the item (or items) intended to be subcontracted, the aggregate value of which shall not exceed 50% of the total bid price. 

      In accordance with 40A:11-16, the bidder shall list subcontractors who will be used for:

      - The plumbing and gas fitting and all kindred work;
      - Seam power plants, steam and hot water heating and ventilating apparatus and all kindred work;
      - Electrical work; and
      - Structural steel and ornamental iron work.

    • Prevailing Wage Rate Determination

      Pursuant to N.J.S.A.34:11-56.25 et seq., contractors on projects for public work shall adhere to all requirements of the New Jersey Prevailing Wage Act. The contractor shall be required to submit a certified payroll records to the owner within ten (10) days of the payment of the wages. In the event it is found that any worker, employed by the contractor or any subcontractor has been paid a rate of wages less than the prevailing wage required to be paid, the owner may terminate the contractor's or subcontractor's right to proceed with the work, or such part of the work as to which there has been a failure to pay required wages and the contractor and subcontractor then be required to continue the work to completion or otherwise.

      The contractor is also responsible for obtaining and submitting all subcontractors' certified payroll records within the aforementioned time period. The contractor shall submit said certified payrolls in the form set forth in N.J.A.C. 12:60-6.1(c). It is the contractor's responsibility to obtain any additional copies of the certified payroll form to be submitted by contacting the New Jersey Department of Labor and Workforce Development, Division of Workplace Standards.

    • Debarred, Suspended and Disqualified Bidder

      Pursuant to N.J.S.A. 52:32-44.1, any contractor that is debarred from contracting with a federal government agency, along with any affiliates of the debarred contractor, is prohibited from contracting for “public work” with any State or local government entity.

      C. There may be deducted from the amount payable to the contractor by the contracting public agency, under this contract, a penalty of $50.00 for each person for each calendar day during which such person is discriminated against or intimidated in violation of the provisions of the contract; and

      D. This contract may be canceled or terminated by the contracting public agency, and all money due or to become due hereunder may be forfeited, for any violation of this section of the contract occurring after notice to the contractor from the contracting public agency of any prior violation of this section of the contract.

    • Equipment Certification

      Bidder certifies that they control or have access to equipment necessary to do the required work if awarded the contract. If the bidder does not own or lease the equipment, a certificate from the owner of the equipment that the bidder will have access to the equipment is required with the bid. (N.J.S.A. 40:11-20)

The successful bidder shall complete an Initial Employee Report, Form AA-302 and submit it to the Division with a check or money order for $150.00 made payable to “Treasurer, State of NJ” and forward a copy of the Form to the Public Agency. Upon submission and review by the Division, the Report shall constitute evidence of compliance with the regulations.

      The successful vendor may obtain the Equal Opportunity Employment Information Report (AA302) from the contracting unit during normal business hours. The successful vendor(s) must submit the copies of the AA302 Report to the Division of Contract Compliance and Equal Employment Opportunity in Public Contracts (Division). The Public Agency copy is submitted to the public agency, and the vendor copy is retained by the vendor.

    • Business Registration Certificate

      Pursuant to N.J.S.A. 52:32-44, the Township of North Brunswick is prohibited from entering into a contract with an entity unless the bidder/proposer/contractor, and each subcontractor that is required by law to be named in a bid/proposal/contract has a valid Business Registration Certificate on file with the Division of Revenue and Enterprise Services within the Department of the Treasury.

      Prior to contract award or authorization, the contractor shall provide the Contracting Agency with its proof of business registration and that of any named subcontractor(s).       2. The contractor shall maintain and submit to the Contracting Agency a list of subcontractors and their addresses that may be updated from time to time; and
      3. The contractor and any subcontractor providing goods or performing services under the contract, and each of their affliates, shall collect and remit to the Director of the Division of Taxation in the Department of Treasury, the use tax due pursuant to the Sales and Use Tax Act, (N.J.S.A. 54:32B-1 et seq.) on all sales of

      Before final payment is made under the contract, the contractor shall submit to the Contracting Agency a complete and accurate list of all subcontractors used and their addresses. Pursuant to N.J.S.A. 54:49-4.1, a business organization that fails to provide a copy of a business registration as required, or that provides false business registration information, shall be liable for a penalty of $25 for each day of violation, not to exceed $50,000, for each proof of business registration not properly provided under a contract with a contracting agency.

    • Insurance and Indemnification

      The insurance documents indicated by an (X) shall include but are not limited to the following coverages. The successful bidder shall provide coverage so that all insurance coverage must be in effect no later than the start date of the contract and remain in effect for the duration of the contract, including any extensions. Deductible amounts or self-insurance retention amounts payable under or with respect to such insurance coverage shall be the sole responsibility of the contractor. No policy shall have a deductible amount greater than $100,000.

      1. Insurance Requirements
        X Worker's Compensation - Worker's Compensation insurance shall be maintained in full force during the life of the contract, covering all employees engaged in performance of the contract pursuant to N.J.S.A. 34:15-12(a) and N.J.A.C. 12:235-1.6.
        X Commercial General Liability Insurance - General Liability insurance shall be provided with the limits of not less than $1,000,000 any one person and $1,000,000 any one accident for bodily injury and $2,000,000 aggregate for property damage and shall be maintained in full force during the life of the contract.
        X Automotive Liability Insurance -Automotive Liability insurance covering contractor for claims arising from owned, hired and non-owned vehicles with limits of not less than $1,000,000 any one person and $1,000,000 any one accident for bodily injury and $2,000,000 each accident for property damage, shall be maintained in full force during the life of the contract.
      2. Certificates of the required Insurance
        Certificates of Insurance for those policies required above shall be submitted with the contract. Such coverage shall be with an insurance company authorized to do business in the State of New Jersey and shall name the owner as an additional insured. Self-insured contractors shall submit an affidavit attesting to their self-insured coverage and shall name the owner as an additional insured.
      3. Indemnification
        The contractor shall indemnify and hold harmless the owner, its officers, agents, servants, and employees from all claims, suits or actions, and damages or costs (including but not limited to reasonable attorney’s fees, court and/or arbitrator costs) of every name and description to which the owner may be subjected or put by reason of injury to the person or property of another, or the property of the owner, resulting from:
        1. negligent acts or omissions on the part of the contractor, the contractor's agents, servants or subcontractors in the delivery of goods and services, or in the performance of the work under the contract; and
        2. the use of any copyrighted or copyrighted composition, valid trademark, secret process, patented or unpatented invention or article furnished or used in the performance of this contract.

      The contractor and the owner do hereby agree that the provisions of Title 11 of the Americans with Disabilities Act of 1990 (the "Act") (42 U.S.C. S121 01 et seq.), which prohibits discrimination on the basis of disability by public entities in all services, programs, and activities provided or made available by public entities, and the rules and regulations promulgated pursuant there unto, are made a part of this contract. In providing any aid, benefit, or service on behalf of the owner pursuant to this contract, the contractor agrees that the performance shall be in strict compliance with the Act. In the event that the contractor, its agents, servants, employees, or subcontractors violate or are alleged to have violated the Act during the performance of this contract, the contractor shall defend the owner in any action or administrative proceeding commenced pursuant to this Act. The contractor shall indemnify, protect, and save harmless the owner, its agents, servants, and employees from and against any and all suits, claims, losses, demands, or damages, of whatever kind or nature arising out of or claimed to arise out of the alleged violation. The contractor shall, at its own expense, appear, defend, and pay any and all charges for legal services and any and all costs and other expenses arising from such action or administrative proceeding or incurred in connection therewith. In any and all complaints brought pursuant to the owner’s grievance procedure, the contractor agrees to abide by any decision of the owner which is rendered pursuant to said grievance procedure. If any action or administrative proceeding results in an award of damages against the owner, or if the owner incurs any expense to cure a violation of the ADA which has been brought pursuant to its grievance procedure, the contractor shall satisfy and discharge the same at its own expense.

      The owner shall, as soon as practicable after a claim has been made against it, give written notice thereof to the contractor along with full and complete particulars of the claim, if any action or administrative proceeding is brought against the owner or any of its agents, servants, and employees, the owner shall expeditiously forward or have forwarded to the contractor every demand, complaint, notice, summons, pleading, or other process received by the owner or its representatives.

      It is expressly agreed and understood that any approval by the owner of the services provided by the contractor pursuant to this contract will not relieve the contractor of the obligation to comply with the Act and to defend, indemnify, protect, and save harmless the owner pursuant to this paragraph.

      It is further agreed and understood that the owner assumes no obligation to indemnify or save harmless the contractor, its agents, servants, employees and subcontractors for any claim which may arise out of their performance of this Agreement. Furthermore, the contractor expressly understands and agrees that the provisions of this indemnification clause shall in no way limit the contractor’s obligations assumed in this Agreement, nor shall they be construed to relieve the contractor from any liability, nor preclude the owner from taking any other actions available to it under any other provisions of the Agreement or otherwise at law.
