COUNTY OF MORRIS, NEW JERSEY NOTICE SALE AT AUCTION OF REAL PROPERTY NOT NEEDED FOR PUBLIC USE PLEASE TAKE NOTICE that on August 24, 2026 at 11:00 a.m., a public sale of certain real property owned by the County of Morris (the “County”) will be held at 10 Court Street, Morristown, New Jersey 07960 pursuant to N.J.S.A. 40A:12-13(a), as follows: Description Minimum Bid 10-acre parcel of 540 West Hanover Avenue in the Township of Morris, New Jersey (Block 1901, Lot 1) Containing the Morris View Healthcare Center and associated land, structures, drives, and parking $ 27,050,000.00 PLEASE TAKE NOTICE: 1. This property is no longer needed for public use and said sale shall take place on August 24, 2026 at 11:00 a.m. prevailing time. The County shall have the right to remove the property from the auction for any reason whatsoever until the time of the auction. Notice of such removal will be posted prior to the commencement of the auction. 2. Site visits will be held on July 2, 2026 at 10:00 a.m. and July 9, 2026 at 10:00 a.m. Site visits are non-mandatory, but all bidders are strongly encouraged to attend. 3. The sale of this property shall be made at public auction, as is, with a minimum bid as listed above, and shall be sold to the highest bidder, with the County reserving its right to reject all bids where the highest bid is not accepted. The County further reserves the right to determine the responsibility and responsiveness of the bidders. The County makes no representation with regard to the condition or value of the property. 4. Sale of the property shall be subject to the following conditions, and upon such other terms and conditions as may be set forth in the Request for Bids documents (“RFB”): The property is owned by the County and is currently leased to the Morris County Improvement Authority (the “MCIA”) pursuant to a lease agreement dated as of July 27, 2017 (as amended and supplemented from time to time, the “County-MCIA Lease Agreement”). The County-MCIA Lease Agreement will be terminated at closing on the sale of the property. The property is currently subject to a Lease Agreement dated as of July 27, 2017 (the “Original Lease Agreement”), by and between the MCIA (as Lessor) and Morris View Management Co., LLC d/b/a Morris View Healthcare Center (as Lessee), as amended by a First Amendment to the Lease Agreement dated as of September 1, 2020 (the “First Amendment”), by a Second Amendment to the Lease Agreement dated as of February 17, 2023, by a Third Amendment to the Lease Agreement dated as of April 25, 2023, and by a Fourth Amendment to the Lease Agreement dated as of January 22, 2025 (collectively, and as the same may be amended and supplemented from time to time, the “Morris View Lease Agreement”). A complete copy of the Morris View Lease Agreement is included in the RFB. The Morris View Lease Agreement runs with the property and the purchaser shall take the property subject to all terms and conditions of the Morris View Lease Agreement, including provisions governing the term of the Morris View Lease Agreement set forth in Section 7 of the First Amendment. The following County obligations shall terminate upon closing on the sale of the property: (i) Beauty Parlor Credit reimbursement, as described in Section 1.04 of the Original Lease Agreement; (ii) all outstanding capital project reimbursements, including the costs for the nurse call bell system, as described in Section 1 of the First Amendment, and the costs for the tub and shower rooms construction, as described in Section 4 of the First Amendment; (iii) Medicaid shortfall reimbursement, as detailed in Section 3 of the First Amendment; (iv) the County’s payment of twenty-five percent (25%) of utilities, as detailed in Section 5 of the First Amendment, which shall be solely the purchaser’s responsibility; and (v) the County’s funding of security personnel costs, as set forth in Article 3.01 of the Original Lease Agreement. The purchaser will be required to lease to the County, for nominal consideration, the portion of the property identified in the RFB (the “Leased Areas”), for a term of fifty (50) years with an option by the County to renew such lease term for an additional fifty (50) year term for nominal consideration. Pursuant to the terms of such lease, the County shall not be responsible for any common area maintenance or improvements, nor shall the County pay for water, sewer, electric or other utilities. The Leased Areas shall be permitted to continue to be used by the County and/or its partners for any lawful purposes, including but not limited to governmental, quasi-governmental, or public purposes, with the right to sublease all or part of such areas. The purchaser shall be required to provide the County and its partners with continued access to the property’s shared parking facilities. Such parking shall include a complement of spaces necessary to ensure the County’s functional operations, consistent with the historical usage of the Leased Areas. Additionally, the purchaser shall grant certain easements for the benefit of the County, as is more specifically detailed in the RFB. The property will be required to be subdivided pursuant to the boundary plan identified in the RFB. The County will seek subdivision approval from Township of Morris post-execution of the Purchase and Sale Agreement and prior to closing on the sale of the property. The County will grant the purchaser, via easement, continued access to interior driveways. Timing of such grant of easement will be addressed in the Purchase Agreement. Pursuant to the Morris View Lease Agreement, the property currently houses the Morris View Healthcare Center, a long-term care skilled nursing facility and sub-acute rehabilitation facility, in the portions of the property identified in Schedule L hereto (the “Healthcare Center Leased Space”). Pursuant to N.J.S.A. 40A:12-13(a), the sale of the property is subject to the restriction that the Healthcare Center Leased Space must be used in perpetuity as a licensed, long-term care facility with at least 283 licensed beds. The property will be deed restricted to allow only skilled healthcare and rehabilitation functions in accordance with the Morris View Lease Agreement. Notwithstanding the foregoing, in the event the purchaser demonstrates to the reasonable satisfaction of the then-sitting Morris County Board of Commissioners that such healthcare use is no longer economically or operationally viable, the Board of Commissioners may, in its sole discretion, formalize a release of this restriction. Upon execution and recording of such release, future uses of the property shall be governed by the then-existing municipal zoning ordinances and land use regulations. Whether that Healthcare Center Leased Space is operated by the purchaser or a third party, such operation must be a responsible, fully licensed corporation experienced in the health care field, specifically in the field of medical nursing care, clear of license suspensions, criminal convictions, or adverse findings regarding its history of past care by any state or federal licensing agency or watchdog. The purchaser must be in good standing with, and not in default under, any agreement(s) with the County or the MCIA, and must be current on all payments due under any such agreement(s). 5.
