    WCW requires a contractor to construct cast‑in‑place concrete foundations and install nine (9) Fonroche solar light poles at WCW's Water Quality Resource Recovery Plant in Richmond, California.

As a result, some access paths and work areas experience reduced visibility after dark, increasing safety risks and operational challenges. WCW is seeking durable, low‑maintenance lighting solutions capable of performing consistently in an industrial wastewater environment while minimizing ongoing energy and maintenance costs.

    This project addresses those needs through the installation of solar‑powered light poles supported by engineered concrete foundations. Work will be performed within an active treatment facility and requires careful coordination, accurate layout, and close attention to existing utilities, underground infrastructure, and varying site conditions.

    Evaluation Criteria

    • General Information

      West County Wastewater District ("WCW") is soliciting bids from qualified firms to construct cast-in-place concrete foundations for Fonroche solar light poles and install nine (9) Fonroche solar light poles ("Work"). With the exception of the WCW-provided materials mentioned in the Technical Specifications, the Contractor will furnish all labor, other materials, equipment, supervision, permits, and incidentals necessary to perform the Work. Bids will be received through WCW's eProcurement Portal, OpenGov Procurement, in accordance with the Solicitation Schedule in Section 2.4. Bids must be received by July 17, 2026, 5:00 PM Except for the deposit component of the bid, hard copy submissions or bids submitted by any other means will NOT be accepted and will be returned (unopened) to Bidders without consideration.

    • Bid Requirements and Conditions
      1. Bid Invited.  WCW invites bids to construct cast-in-place concrete foundations for Fonroche solar light poles and install nine (9) Fonroche solar light poles, as further described in the Technical Specifications, in full accordance with the Bid Documents.

      2. Solicitation Schedule.  Section 2, "Introduction," contains the “Solicitation Schedule,” which outlines pertinent dates of which Bidders should make themselves aware. WCW reserves the right to modify any of the dates specified above at any time and for any reason.

      3. Bid Form.  Bids must be uploaded no later than the date and time listed in the Solicitation Schedule, at which time they will be publicly opened and read.

      4. Bidders Must Bid on Each Item on the Bid Form.  The Grand Total Amount includes labor, freight and delivery charges, equipment, materials (except for WCW-provided materials identified in the Technical Specifications), applicable taxes, warranties, license fees, permits, insurance, bonding, and all other costs incurred by the Contractor up to the time of final acceptance by WCW. Subject to budgetary limitations, WCW reserves the right to award a contract that does not include every item listed on the bid form.  

      5. Examination of Bid Documents and Site of Work.  The Bidder must carefully examine the Bid Documents.  The submission of a bid will be conclusive evidence that the Bidder has investigated and is satisfied as to the conditions to be encountered, as to the character, quality and scope of work to be performed, as to the quantities of materials to be furnished and as to the requirements of the Bid Documents. 

      6. Bidder’s Security.  The Bidder’s Security as described in General Condition 3.15 applies to this Agreement. Bidders must submit with their bid Bidder's Security in the amount of at least 5% of the Grand Total Amount specified on the Bid Form.  Bidder’s Security must be in one of the forms described in General Condition 3.15.

      7. Bidder’s Statement of Qualifications and Financial Statement with Business References.  The Bidder must submit with its bid the Bidder's Statement of Qualifications and Financial Statement with Business References included in the Bid Documents.  WCW may reject a bid as non-responsive if the Bidder does not provide all the information and data in the form and format requested.

        WCW may reject the bid of any Bidder deemed not to possess the minimum qualifications to perform the work under this Agreement. In order to be deemed minimally qualified, a Bidder must meet the following minimum qualifications:

        1. Have the equipment, materials, tools, and personnel capable of performing the required services within the approved schedules;
        2. Possess and maintain the following California State Contractor's Licenses during the entire term of the Agreement: Class B (General Building) and Class C-46 (Solar) or Class C-10 (Electrical); and
        3. Bidder or a designated subcontractor will possess and maintain a current and valid Public Works Contractor Registration from the California Department of Industrial Relations pursuant to Labor Code Section 1725.5.

      8. California Air Resources Board ("CARB") In-Use Off-Road Diesel-Fueled Fleet Rules Certificate.  If, during performance of the Work, the Contractor or any of its proposed subcontractors operate a fleet of any vehicles that are subject to CARB's In-Use Off-Road Diesel-Fueled Fleet regulations, including but not limited to vehicles with a diesel-fueled or alternative diesel fueled off-road compression-ignition engine with a maximum power of 25 horsepower or greater provided that the vehicle cannot be registered and driven safely on-road or was not designed to be driven on-road, the rules in 13 C.C.R. § 2449 et seq. will apply. 13 C.C.R. § 2449(b) provides the description of vehicles subject to the regulations.  If the Contractor and its subcontractors will operate vehicles subject to this regulation in the performance of the contract, the Contractor must certify that it and its subcontractors comply with the CARB rules and will provide WCW with CARB-issued Certificates of Reported Compliance for the fleets and the CARB-issued identification number.  The Contractor must complete Attachment I – California Air Resources Board In-Use Off-Road Diesel-Fueled Fleet Rules Certificate and provide valid Certificates of Reported Compliance for the fleet used by the Contractor and its listed subcontractors, if applicable.

      9. Public Works Registration.  No Contractor or subcontractor may be listed on a bid unless registered with the Department of Industrial Relations (DIR) pursuant to Labor Code Section 1725.5. This Agreement is subject to monitoring and enforcement by the DIR pursuant to Labor Code Section 1771.4. The Contractor shall furnish the records specified in Labor Code Section 1776 directly to the Labor Commissioner, monthly in a format prescribed by the Labor Commissioner. 

      10. License Requirements.  Bidders must possess the following current and valid licenses from the Contractors State License Board (CSLB) for the entire term of the Agreement: Class B (General Building) and Class C-46 (Solar Contractor) or Class C-10 (Electrical). Bidders must include their valid CSLB license number, classification(s) and expiration date on the Bid Form, and attach a legible copy of its current and valid license. Bidders must be properly registered with the State of California, Department of Industrial Relations (DIR) Public Works Contractor Registration Program (PWCR). Bidder must include its valid PWCR number and expiration date with the Bid Forms.

      11. Documents to Accompany Bid.  The bid must be accompanied by the following:
        1. The Bidder’s Security required by General Condition 3.15 and the Special Provisions in an amount equal to at least 5% of the proposed Grand Total Amount
        2. Copies of the applicable warranties
        3. Bidder’s Statement of Qualifications and Financial Statement with Business References
        4. Designation of Subcontractors Form
        5. Disqualification Questionnaire
        6. Non-Collusion Declaration
        7. California Air Resources Board In-Use Off-Road Diesel-Fueled Fleet Rules Certificate
        8. Certificate of Insurance in accordance with Special Provision 4.4

      1. Pre-Bid Conference.  There will be a Pre-Bid Conference at the date, time, and location listed in the Solicitation Schedule.  WCW staff will be available to answer general questions pertaining to the Agreement and show the project site. Any questions that may require staff research to answer or that will otherwise modify the meaning or intent of this Agreement must be submitted to WCW in writing.

      2. Not Used.

      3. Questions, Request for Approved Equals, or Clarifications. Questions, Requests for Approved Equals, or Clarifications must be submitted to WCW's e-Procurement Portal by no later than the date and time listed in the Solicitation Schedule.

        Any Request for Approved Equal must be fully supported with technical data, test results, or other pertinent information as evidence that the substitute offered is equal to or better than the specification requirement. In addition, any test requirements in the specifications that pertain to an item under consideration for Approved Equal must be submitted with the Request for Approved Equal. Additionally, Safety Data Sheets ("SDS") in searchable approved Occupational Safety and Health Administration (OSHA) format must accompany all products submitted for review under this provision, if applicable.
        WCW will be the sole judge as to the comparative quality and suitability of alternative equipment, articles, material or process, and its decision will be final. The submission of a bid following a “denial” response from WCW to any Request for Approved Equal, will constitute a Bidder’s acknowledgement and acceptance of all terms, conditions, specifications, or provisions contained in the IFB.Failure of WCW to respond within the time limit will be deemed to be a denial of request. If a request for an approved equal, modification, or clarification is granted, then an addendum detailing the approved equal, modification, or clarification provided via WCW's e-Procurement Portal. Bidders that accessed any of the Bid Documents will be notified of the issuance of any addenda.

      4. Not Used.

      5. Single-Bid Response.  In the event of a single bid response, WCW reserves the right to conduct a price and/or cost analysis of the bid to verify that the Grand Total Amount is fair and reasonable. The Bidder will be expected to cooperate in this process and to submit cost and pricing data to verify that the Grand Total Amount is fair and reasonable.  The right of examination will extend to all documents necessary to permit adequate evaluation of the cost of the product(s) and the prices quoted and must include the computations and projections used by the Bidder. Failure to submit the data as requested by WCW within ten (10) calendar days of receipt of written notification to the sole Bidder may result in the Bidder being declared non-responsive.
    • Pre-Bid Conference/Site Visit

      A mandatory Pre-Bid Conference will be conducted at the date and time referenced in the Solicitation Schedule. The Pre-Bid Conference will be held at 2377 Garden Tract Road, Richmond, California 94801.

    • Definition of Terms

      In these General Conditions, the Special Provisions, the Technical Specifications, the Bid Form, addenda, if any, bids, and the Contract, the following terms or pronouns in place of them or abbreviations are have the following intent and meaning:

      "WCW" means the West County Wastewater District.

      "Board," "Director," "Directors," or "Board of Directors" means the West County Wastewater District Board of Directors or members thereof.

      "General Manager" means General Manager of the West County Wastewater District.

      "Contractor" means the successful Bidder to whom an Agreement is awarded.

      "Bid Documents" mean the Notice Inviting Bids, General Conditions and Instructions for Bidders, Special Provisions, Technical Specifications, Bid Form, and addenda, if any.

      "WCW's e-Procurement Portal" means OpenGov Procurement (https://procurement.opengov.com/portal/wcwd.)

       

    • Explanations and Clarifications

      Prospective Bidders must examine the Bid Documents carefully. It will be the duty of every person contemplating submitting a bid for the proposed Agreement to contact WCW and request in writing, before bidding, an interpretation or correction of every discrepancy, ambiguity, error, or omission in any of the Bid Documents which should have been discovered by a reasonably prudent Bidder.

      Any interpretation, change, or correction of the Bid Documents will be made by written addenda only, duly issued by WCW's authorized personnel. All addenda will be posted to OpenGov. Bid Documents cannot be orally modified.

      Bidders that have accessed any of the Bid Documents for this solicitation will be notified of the issuance of any addenda. Upon notification, the addendum will become a part of the Bid Documents, and binding on all bidders whether or not actual notices of the addenda are provided.

    • Award of Agreement
      1. Award of Agreement.  The award of contract, if any, will be made to the lowest responsive and responsible Bidder as determined by comparing and evaluating the Grand Total Amount as set forth in the Bid Form. WCW reserves the right to reject any and all bids or to waive any irregularities in any bid or in the bidding procedure. 

      2. Payment Bond.  Pursuant to Civil Code Section 9550, the Contractor who is awarded the Agreement must furnish a payment bond to WCW.

      3. Faithful Performance Bond.  The Faithful Performance Bond as described in General Condition 3.26 applies to this Agreement.

      4. Compliance with Federal, State and Local Laws, Regulations, and Orders.  The Contractor must comply with all federal, state, and local laws, rules, regulations, and orders applicable to the Agreement and to the Work performed hereunder, including without limitation, all applicable state and local orders, regulations or rules of any kind related to the COVID-19 pandemic. Upon request by WCW, the Contractor will provide a written plan for complying with those orders, regulations and rules to WCW's satisfaction.
    • Qualifications of Bidders

      WCW may reject the bid of any Bidder determined not to possess the minimum qualifications to perform the required work as set forth in Special Provision 4.1.G. WCW reserves the right to inspect the Bidder's premises and/or equipment prior to contract award or at any time during the Agreement period.

    • Contract Performance

      The Contractor must perform all work and undertake all services detailed in the Agreement in accordance with the specified requirements, terms and conditions. The Work must be completed within the time specified in the Agreement.

    • Questions

      All questions related to the bid documents must be submitted in writing via OpenGov Procurement by clicking on the "Question/Answer" tab by the date and time referenced in the Solicitation Schedule. All questions submitted and answers provided will be electronically distributed to all Bidders through OpenGov Procurement.

    • Form of Bid and Signature

      The bid must be made on the form provided and must be uploaded to OpenGov Procurement as required. If the bid is made by a sole owner, it will be signed with its full name and its address will be given; if it is made by a partnership, it will be signed with the partnership name by a member of the firm, who will also sign their own name, and the name and address of each member of the firm will be given; and if it is made by a corporation, it will be signed by two (2) officers of the corporation, consisting of (1) the chairman of the board, president, or vice president, and (2) the secretary, assistant secretary, chief financial officer, assistant treasurer, or by a person authorized by the corporation to execute written contracts on its behalf. If the bid is made by a corporation and signed by a person other than an officer, or by only one officer, a certified copy of a resolution of the corporation authorizing that officer or person to sign bids on behalf of the corporation should be attached to the bid.  If it is made by a Limited Liability Company (LLC), it must be signed by an officer or other member who has full and proper authorization to execute contracts on behalf of the LLC. If it is made by a joint venture, it will be signed on behalf of each participating company by officers or other individuals who have the full and proper authorization to do so. Bids submitted in any other form will be considered non-responsive and may be rejected.

    • Addenda

      The Bidder is responsible for checking OpenGov Procurement for any addenda that WCW may issue related to this solicitation. Bidders that have accessed any of the bid documents for this solicitation will be notified when any addenda are issued.

    • Insurance

      Bidders are instructed to review the insurance set forth in the Section 10 of Sample Agreement and to provide evidence of the Bidder's ability to provide insurance and meet the stated insurance requirements of WCW in the form of a current Certificate of Liability Insurance or a letter from the bidder’s insurance agent or broker certifying that those insurance requirements can be obtained. If the certificate does not cover the requirements as specified in the Sample Agreement, verification of availability of required insurance must otherwise be provided.

    • Bid Form

      Blank spaces in the bid must be properly filled. The words contained on the Bid Form must not be changed and no additions may be made to the items mentioned therein. Alterations by erasure or interlineation must be explained or noted in the bid over the signature of the Bidder. If the unit price and the total amount named by a Bidder for any item do not agree, the unit price alone will be considered to represent the Bidder's intention. Any mathematical errors apparent on the face of the bid will be corrected, and the mathematically correct total will be used to determine the lowest Bidder.

    • Bid Security

      Bids must be accompanied by a deposit of cash, cashier's check, certified check, or a bid bond in the amount of 5% of the Grand Total Amount listed in the Bid Form, which will be applied to damages sustained by WCW if the successful Bidder fails or refuses to enter into a contract awarded to it by WCW.

    • Conflict of Interest

      See the Sample Agreement for conflict of interest provisions that will be in effect during the Agreement term.

    • Payment and Performance Bonds

      The successful Contractor must provide payment and performance bonds in the amount equal to one hundred percent (100%) of the Grand Total Amount on the Bid Form and issued by a California admitted surety. Full compensation for furnishing the bonds is included in the Grand Total Amount.

    • Securities in Lieu of Retention

      The Contractor is permitted to substitute securities for any funds withheld to ensure performance under this Agreement pursuant to Section 22300 of the California Public Contract Code. See Section 16.10(ii) of the Sample Agreement.

    • Unauthorized Conditions

      Unauthorized conditions, limitations, or provisions attached to a bid will render it nonresponsive and may cause its rejection.

    • Bid Validity

      In order to allow for an adequate evaluation, WCW requires a bid in response to this solicitation to be valid and irrevocable for ninety days after the bid submittal deadline, or until WCW and a bidder execute a contract, whichever is earlier. All Bidders will be notified of contract award, if award is made.

    • Prevailing Wage Requirements

      The payment of prevailing wages is required for this Agreement, as detailed in Section 15.1(ii) of the Sample Agreement.

    • Submission of Bid

      Prior to the time specified in the Solicitation Schedule, all bids must be uploaded to OpenGov Procurement and properly endorsed as to the items being bid and the Bidder's name and address. No bids uploaded after the time or at any place other than the time and place as stated in the Solicitation Schedule will be considered.

    • Rejection/Waiver/Postponement

      WCW reserves the right to reject any and all bids, waive any irregularities or informalities in any bid or in the solicitation procedure, or postpone the bid submittal deadline for good cause, as determined by WCW.

    • Withdrawal of Bid

      A Bidder may withdraw its bid at any time prior to the time bids are opened, as set forth in the Solicitation Schedule, by logging on to WCW's e-Procurement Portal and deleting its bid.

      The withdrawal of a bid does not prejudice the right of the Bidder to submit a new bid prior to the time set forth in the Solicitation Schedule. No bids may be withdrawn or submitted after the time bids are opened, as set forth in the Solicitation Schedule, regardless whether bids are opened exactly at the time stated in the Solicitation Schedule.

    • Award of Contract

      A contract award, if any, will be made to the lowest responsible Bidder whose bid complies with the requirements prescribed and whose qualifications are satisfactory to WCW. That award, if made, will be made within 60 days after the opening of the bids. If the lowest responsible Bidder refuses or fails to execute the contract or file the required bonds, WCW may award the contract to the second lowest responsible Bidder. The periods of time specified above within which the award of contract may be made will be subject to extension for any further period as may be agreed upon in writing between WCW and the Bidders concerned. All Bidders will be notified of the award.

    • Rejection of Bids

      WCW may reject any and all bids, and will reject the bid of any party who has been found by WCW to be non-responsible in any former contract with WCW. WCW also reserves the right to waive any irregularities or informalities in any bid or in the bidding procedure. All bids must remain in effect at least 60 days from the bid opening date, or until WCW and a bidder execute a contract, whichever is earlier.

    • DIR Registration

      All participating contractors and subcontractors must be registered with the Department of Industrial Relations (DIR) at the time of bid, or the bid may be rejected as non-responsive.  Each Bidder must submit proof of contractor registration with the DIR (e.g. a copy of the relevant page of the DIR's database. This Contract is subject to monitoring and enforcement by the DIR pursuant to Labor Code § 1771.4.

    • Prevailing Wage

      Notice is hereby given that, pursuant to California Labor Code § 1770 et seq., this work includes "public works." The successful contractor shall be responsible for the payment of prevailing wage rates, the training of apprentices and compliance with other related requirements. The prevailing wage requirements and instructions are detailed in the Sample Agreement and Labor Code Sections 1770 to 1780, inclusive.

    • Taxes

      The supplies, materials, or equipment called for in the Bid Documents will be used by WCW in the performance of a governmental function and are exempt from taxation by the United States Government, and WCW will, if requested, furnish a tax exemption certificate and any and all affidavits and documents that may be necessary to establish that exemption. Applicable California State sales or use taxes must be included in the bid price for all bidders, but listed separately, regardless of location.

    • License Requirements

      Bidders and their proposed subcontractors must hold the licenses required by the laws of the State of California for the performance of the work specified in this IFB. Bidders bidding as the prime contractor must possess the following valid California State Contractor's Licenses at the time bids are submitted and throughout the term of the Agreement: Class B (General Building) and Class C-46 (Solar) or Class C-10 (Electrical). The prime contractor must ensure that all subcontractors working on the project hold valid licenses suitable for their trade.

    • Additional Taxes

      Any sales tax, use tax, imposts, revenues, excise, or other taxes which may be imposed after the bid due date by Congress, by the State of California, or any political subdivision thereof, and applicable to the sale of the material delivered as a result of the Bidder’s bid and which, by the terms of the tax law may be passed directly to the purchases during the time for performance of the Contract will be paid by the Contractor.

    • Delivery

      Unless otherwise stated in the Bid Documents, bidders must include delivery charges in the Total Bid Price.

    • Securities in Lieu of Retention

      The Contractor is permitted to substitute securities for any funds withheld to ensure performance under this Agreement pursuant to Section 22300 of the California Public Contract Code.

    • Alternative Bid

      Submission of an alternative bid or bids, except as specifically called for in the Bid Documents, may cause the bid to be rejected.

    • Bidder’s Security

      No bid will be considered unless it is accompanied by bid security, in paper form and delivered to WCW no later than the bid submittal deadline in the form of:

      1. An unconditional Certified or Cashier's Check on a solvent bank payable to the order of West County Wastewater District; or
      2. A Bidder’s Bond using the form entitled "Bidder’s Bond," provided with the Bid Documents, and properly executed and acknowledged by the Bidder and by an admitted corporate surety authorized and admitted to transact that business in the State of California and acceptable to WCW; or
      3. Cash.

      The amount of the Bidder's security is stated in the Special Provisions. Any condition or limitation placed upon a check, any alteration of the form of bond, or any imperfection in the execution of those documents, as herein required, will render it insufficient and may, at the option of WCW, result in the rejection of the bid under which that check or bond, is submitted. The Bidder's security is a guarantee that the Bidder(s), if awarded the Agreement, will execute the Agreement and bonds within fifteen (15) calendar days after issuance of the Notice of Award to it or such additional time as may be allowed by WCW. If the Bidder(s) fails or refuses to execute the required Agreement and bonds within the required time, the money and proceeds from the Bidder's security will be applied towards payment of the damage to WCW on account of the delay in the execution of the Agreement and bonds and the performance of the work thereunder, and the necessity of accepting a higher or less desirable bid resulting from the Bidder's failure or refusal to execute the Agreement and bonds as required. Recovery by WCW of the amount of the Bidder's security will not limit WCW's rights to recover for the full amount of that damage. After the Agreement with the successful Bidder is executed and WCW approves bonds furnished by that Bidder, the Bidder's security of the successful Bidder and the other bidders will be returned in a reasonable period of time, but no later than 60 days after the time the award is made.

    • Payment Bond

      Pursuant to Civil Code Section 9550, because the Agreement involves an expenditure in excess of $25,000, a payment bond is required. The Contractor who is awarded the Agreement must furnish a payment bond to WCW in a form approved by WCW. (See sample Payment Bond).

    • Statement of Experience and Qualifications

      Upon request, the Bidder may be required to prove to WCW's satisfaction that it has the skill and experience and that it has the necessary facilities and ample financial resources to perform the Agreement in a satisfactory manner and within the required time.

    • Waiver

      By submitting a bid, the Bidder represents and warrants that it has sufficiently informed itself in all matters affecting the performance of the work or furnishing the labor, supplies, material, or equipment called for in the Bid Documents; that Bidder has checked its bid for errors and omissions; that the prices stated in its bid are correct and as intended by it and are a complete and correct statement of its prices for performing the work or furnishing the labor, supplies, materials, or equipment required by the Bid Documents.

      The Bidder waives any claim for the return of its Bidder's security if, on account of errors or omissions claimed to have been made by it in its bid, or for any other reason, it should refuse or fail to execute the Agreement.

    • Non-Collusion Declaration

      Pursuant to Public Contract Code Section 7106, by submitting a bid, the Bidder represents and warrants that its bid is genuine and not sham or collusive or made in the interest or in behalf of any person not therein named, and that the Bidder has not, directly or indirectly, induced or solicited any other Bidder to put in a sham bid, or any other person, firm, or corporation to refrain from bidding, and that the Bidder has not in any manner sought by collusion to secure to the bidder an advantage over any other Bidder. With its bid, the Bidder must complete and sign the attached Non-Collusion Declaration form.

    • Penalty for Collusion

      If at any time it is found that the person, firm, or corporation to whom a contract has been awarded has, in presenting any bid or bids, colluded with any other party or parties, then the contract so awarded will be null and void and the Contractor and its bondsmen will be liable to WCW for all loss or damage which WCW may suffer thereby and WCW may advertise for a new contract for the labor, supplies, materials, or equipment.

    • Interest of WCW Personnel

      By submitting a bid, the Bidder represents and warrants that neither the General Manager, nor any director, officer, or employee of WCW is in any manner interested directly or indirectly in the bid or in the contract which may be made under it, or in any expected profits to arise therefrom, as set forth in Article 4, Division 4, Title 1 (commencing with Sec. 1090) of the Government Code of the State of California.

    • Representation Before WCW

      No person previously in the position of director, officer, employee or agent of WCW may act as an agent or attorney for, or otherwise represent, Contractor by making any formal or informal appearance, or any oral or written communication, before WCW, or any officer or employee of WCW, for a period of twelve (12) months after leaving office or employment with WCW if the appearance or communication is made for the purpose of influencing any action involving the issuance, amendment, award, or revocation of a permit, license, grant, or contract. By submitting a bid, the Bidder represents and warrants that it has not engaged any director, officer, employee or agent of WCW for this purpose. Breach of this provision will warrant rejection of the bid as non-responsive, or termination of the Agreement for breach.

    • Time for Execution of Contract and Filing Bond

      The Bidder to whom award is made must execute a written contract with WCW on WCW's form of contract and furnish the good and approved bond(s) as herein required within fifteen (15) calendar days after receiving the forms of contract and bond(s) for execution.

      If the Bidder to whom award is made fails to enter into the Agreement as herein provided and/or fails to furnish the required bond(s), then the award will be annulled and an award may, in the discretion of WCW, be made to the Bidder whose bid is next most acceptable in the opinion of WCW; and that Bidder must fulfill every stipulation embraced herein as if it were the party to whom the first award was made.

    • Rights and Remedies of WCW

      The rights and remedies of WCW provided herein are not exclusive and are in addition to any other rights and remedies provided by law or under the contract.

    • Manner of Execution of Contract

      If the Contractor is an individual, the Agreement must be executed by the Contractor personally. If the Contractor is a co partnership, it is desirable that the Agreement be executed by all of the partners, but it may be executed by one of them. If the Contractor is a corporation, it must be executed by two (2) officers of the corporation consisting of (1) the chairman of the board, president or vice president; and (2) the secretary, assistant secretary, chief financial officer, assistant treasurer, or by a person authorized by the corporation to execute written contracts on its behalf, and the corporate seal affixed thereto. If the Contract is executed by a person other than an officer or by only one officer, there must be attached to the Agreement a certified copy of a resolution of the corporation authorizing that officer or person to execute written contracts for and on behalf of the corporation. If the Contractor is an LLC, the Agreement must be executed by an officer or other member who has full and proper authorization to execute contracts on behalf of the LLC. The Contractor must provide evidence satisfactory to WCW that demonstrates that the individual is authorized to bind the LLC (e.g. a copy of a certified resolution from the LLC's board or a copy of the LLC's operating agreement). If the Contractor is a joint venture, the Agreement must be executed on behalf of each participating firm by officers or other individuals who have the full and proper authorization to do so.

    • Faithful Performance Bond

      Upon execution of the Agreement, the Contractor must furnish a bond to guarantee the faithful performance of the Agreement. The amount of the bond is stated in the Special Provisions. The bond must be with a California-admitted corporate surety or with two (2) or more sufficient sureties to be approved by WCW. As an alternative to furnishing a bond, the Contractor may guarantee faithful performance of the Agreement by depositing with WCW a certified check or cashier's check from a solvent bank for the prescribed amount.

    • Or Approved Equal Clause

      In order to establish a basis of quality, certain materials, processes and type of machinery and equipment, or kinds of materials may be specified on the plans or herein, either by description of process, or by designating a manufacturer by name, or by referring to a brand of product designation, or by specifying a kind of material. It is not the intent of these Bid Documents to exclude other processes, equipment, or materials of equal value, utility, or merit, which are approved by WCW.

      It is understood that specifying a brand name or specific types of components and/or equipment in these specifications will not relieve the Bidder from its responsibility to furnish the end product in accordance with the warranty and contractual requirements. The Bidder is responsible for notifying WCW of any inappropriate brand names, or types of components and/or equipment that may be called for in these Bid documents, and to propose a suitable substitute for consideration. Unless otherwise specifically provided in the Bid documents, reference to any equipment, material, article or patented process by trade name, make or catalog number will be regarded as establishing a standard of quality and will not be construed as limiting competition. A Bidder may, at its option, use any equipment, material, article, or process which, in the judgment of WCW, is equal to that designated. To do so, a Bidder will furnish, at its own expense, all test results, technical data and background information required by WCW in making the determination as to whether the proposed equipment, material or article or process, in the judgment of WCW, is equal to that designated. That determination will be made in accordance with the Approved Equal Procedures described in Special Provision 1.11.

    • Antitrust Claims

      The Contractor's attention is directed to California Government Code Section 4552, which is applicable to the Contractor and its subcontractors:

      "In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2 (commencing with Section 16700) of Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to the bid.  Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder."

    • Protest Procedures
      1. Protests Based Upon Restrictive Specifications or Alleged Improprieties in the Bidding Procedure.

        Protests based upon restrictive specifications or alleged improprieties in the bidding procedure which are apparent or reasonably should have been discovered by the bidder prior to bid submittal deadline, must be filed, in writing, with the Directive of Administrative Services (with cc: to the Deputy General Manager) no later than five calendar days prior to the bid submittal deadline. The bid protest must comply with the following procedures:  1) include a complete statement of the basis for the protest, 2) the written protest must state the facts and refer to the specific portions of the document or the specific statutes that form the basis for the protest, and 3) the protest must include the name, address, and telephone number of the person representing the protesting party.
        WCW will review and respond to any timely protest based on restrictive specifications or alleged improprieties in the bidding procedures with a written determination prior to the bid submittal deadline. This determination and original protest will be sent to the bidders who received a solicitation. WCW is not required to hold an administrative hearing to consider a timely bid protest, but may do so at the discretion of the General Manager.
      2. Protests Based Upon the Recommendation for Contract Award.

        Protests based upon the recommendation for contract award must be submitted, in writing, to the Directive of Administrative Services (with cc: to the Deputy General Manager) no later than 5:00 p.m. on the fifth business day following the bid submittal deadline.  The bid protest must comply with the following procedures:  1) include a complete statement of the basis for the protest, 2) the written protest must state the facts and refer to the specific portions of the document or the specific statutes that form the basis for the protest, 3) the protest must include the name, address, and telephone number of the person representing the protesting party, 4) the party filing the protest must concurrently transmit a copy of the protest to the bidder deemed the lowest bidder, and 5) the party filing the protest must have submitted a bid on the project.  A subcontractor of a party filing a bid on the project may not submit a protest.
        WCW will review and respond to any timely bid protests based on the recommendation of contract award with a written determination prior to formal award of the Contract.  WCW is not required to hold an administrative hearing to consider a timely bid protest, but may do so at the discretion of the General Manager.

      3. Failure of the bidder to comply with all of the requirements of these protest procedures will constitute a waiver of any right to further pursue the bid protest, including the filing of a challenge of the award pursuant to the California Public Contract Code, the filing of a claim pursuant to the California Government Code, or filing of any other legal proceedings.

      4. The bid protest procedures will not limit WCW's right to reject any and all bids.
    • California Public Records Act; Confidentiality

      The California Public Records Act (commencing at California Government Code Section 7920.000 et seq.) mandates public access to government records. All bids will be publicly opened on the date specified in the Solicitation Schedule. After a bid is opened, all the documents that are part of the bid submitted by the Bidder, are public records subject to disclosure under the California Public Records Act. By submitting a bid, a Bidder (i) consents to the release of its bid, in the form submitted to WCW and without any redactions, and (ii) waives all claims against WCW, its directors, officers, employees and agents, for the disclosure of its bid.

    • Subcontractor Listing

      The Contractor is required to furnish information in accordance with the provisions of Sections 4100 to 4114, inclusive, of the Public Contract Code of the State of California. The Contractor must include all subcontractors that will perform work, provide labor or render services to the Contractor in connection with the work in an amount in excess of one-half of one percent (0.5%) of the total amount of Contractor's bid on the Designation of Subcontractors Form.

    • Workers Compensation

      By submitting a bid, the Contractor certified it is aware of the provisions of Section 3700 of the Labor Code, which require every employer to be insured against liability for workers’ compensation or to undertake self-insurance in accordance with the provisions of that Code, and that Contractor will comply with such provisions before commencing the performance of the work of this Agreement.
