FAR 52.219-12—Special 8(a) Subcontract Conditions.
Plain-English Summary
FAR 52.219-12, Special 8(a) Subcontract Conditions, is a mandatory clause used in certain SBA 8(a) arrangements to spell out how the subcontract will operate when the SBA has entered into the prime contract and delegated administration to the procuring agency. The clause covers the identity of the SBA contract and the contracting agency, the subcontractor’s agreement to perform the work for the SBA, the subcontractor’s acknowledgment that it has read and understands the underlying contract, the agency’s delegated authority to administer the subcontract (except for novation), the subcontractor’s duty to promptly report any transfer of stock or ownership interest, and the payment process, including progress payments, being made directly to the subcontractor. In practice, this clause is important because it ties the subcontractor directly to the terms of the SBA prime contract and clarifies who has authority to manage performance issues, payments, and administrative actions. It also protects the Government’s and SBA’s interests by requiring notice of ownership changes that could affect eligibility, control, or program compliance. For contractors and contracting officers, the clause is a compliance and administration tool: it confirms the 8(a) relationship, sets expectations for performance, and helps prevent unauthorized changes in ownership or misunderstandings about who controls the subcontract.
Key Rules
SBA prime contract identified
The clause requires identification of the SBA contract number and the contracting agency, and a copy of the prime contract must be attached and incorporated. This makes the subcontract expressly tied to the underlying 8(a) contract and its terms.
Subcontractor performs for SBA
The subcontractor agrees to fulfill and perform the requirements of the SBA contract on behalf of the SBA for the stated consideration. It also acknowledges that it has read and is familiar with every part of the contract.
Agency administers subcontract
The SBA delegates subcontract administration to the contracting agency, except for novation agreements. The agency is given complete authority to take actions on behalf of the Government under the subcontract’s terms and conditions.
Ownership changes must be reported
The subcontractor must immediately notify the contracting agency Contracting Officer in writing if it enters into any agreement, oral or written, to transfer all or part of its stock or other ownership interest. This helps the Government monitor changes that may affect 8(a) eligibility or control.
Direct payment to subcontractor
Payments, including progress payments if applicable, are made directly to the subcontractor by the contracting agency. The clause establishes the payment flow and avoids routing payments through another party.
Responsibilities
Subcontractor
Perform the work required by the SBA contract, comply with the incorporated contract terms, and acknowledge familiarity with the full contract. Notify the contracting agency Contracting Officer immediately in writing of any agreement to transfer stock or any ownership interest, and accept direct payment arrangements under the subcontract.
SBA
Enter into the prime contract with the contracting agency and delegate subcontract administration to the procuring agency, except for novation agreements. SBA remains the contracting party for the underlying 8(a) arrangement.
Contracting Agency / Contracting Officer
Administer the subcontract on behalf of the Government under the delegated authority, receive ownership-change notices, and make payments directly to the subcontractor, including progress payments when authorized. The agency must also ensure the clause is properly completed with the correct contract and party names.
Contracting Agency (as delegated administrator)
Exercise complete authority to take actions under the subcontract’s terms and conditions, while recognizing that novation agreements are excluded from the delegation.
Practical Implications
This clause makes the subcontractor’s compliance with the underlying 8(a) contract explicit, so performance problems can be handled under the incorporated prime contract terms rather than as a stand-alone private arrangement.
A common pitfall is failing to update the clause with the correct contract number, agency name, or subcontractor name, which can create ambiguity about the governing contract and payment authority.
Ownership changes are a major compliance risk: even an agreement to transfer stock or ownership interest must be reported immediately, so contractors should have internal controls to flag corporate transactions early.
Because the agency administers the subcontract but novation is excluded, parties should not assume the agency can approve ownership transfers that would require formal novation or SBA involvement.
Direct payment provisions mean subcontractors should coordinate invoicing and progress payment requests carefully with the contracting agency to avoid delays or mismatches between subcontract performance and payment processing.
